본 양해각서는 년 월 일에 A 국가법에 따라 설립 존속되고 그 주소가 A국 (주소)인 회사명(“A”)와 B 국가법에 따라 설립 존속되고 그 주소가 B국 (주소)인 회사명(“B”)간에 체결되고, A와 B는 다음과 같이 (“제품”) 거래를 상호 합의하는 양해각서로
1. A는 서명일로부터 1년간 (“판매지역”)에서 B를 잠정적인 독점판매점으로 인정하고, A는 판매지역에서는 제3자에게 제품을 공급하지 않고 B에게만 공급하며, B는 제품의 판매를 촉진하기 위하여 노력하고 판매지역에서 최대한의 매출을 위해 노력하고.
2. B는 제품을 구매하기 위해 발주하고 A는 그 제품을 당사자간 개별계약조건에 따라 공급한다. 개별계약은 가격, 대금지급, 인도, 비용, 크레임 등 당사자간의 상세한 조건을 규정하고.
3. A는 제품 선적일로부터 12개월만 자재 및 공정에서 제품에 하자가 없음을 보장하고, B는 판매지역에서 B의 비용으로 제품을 검사하고, 만약 제품이 품질기준에 일치하지 않는 경우 B는 서면으로 제품 인도일로부터 1주일 이내에 제품하자에 대한 상세한 내역을 A에게 통보하소 A는 품질기준에 맞지 않는 제품을 수리 또는 교환한다. 품질보증은 : 1) 오용, 방치, 사고, 가혹한 사용이나 2) 수리가 부적절하거나 A에 의해 서면으로 승인되지 않는 방식으로 변경된 경우나 3) A가 제공한 지시사항에 위배되게 사용된 제품에는 적용되지 않고.
4. A는 B에게 최종적으로 제품을 선적한 날로부터 2년간 수시로 당사자간 합의한 가격으로 B에게 부품을 공급하고, A는 B에게 필요하고 유용하다고 판단한 정보나 유인물 등 기술지원 또는 판촉 및 광고에 적절한 자료를 공급할 의무가 있고.
5. 제품하자에 관련된 클레임은 B가 제품을 받은 날로부터 30일 내에 상세한 내역을 A에게 서면으로 통보하고.
6. 본 계약에서 허용되는 모든 통지는 서면으로 직접 전하거나 우편, 이메일, 팩스로 작성일과 발송일이 동일한 우편을 우편비 사전지불로 발송하고.

7. 본 계약은 서명일에 발효되고 1년간동안 효력을 지속하고 기간이후에 계약은 자동으로 종료되고, 당사자간 독점판매계약을 위해 협의할 수 있고.
위를 증명하기 위하여 당사자들은 본 양해각서가 그들 각자의 정당하게 수권 받은 임원에 의해서 서명 되도록 한 양해각서 양식입니다.
MEMORANDUM OF UNDERSTANDING
This M.O.U is made on this 일자 th day of 월, 연도 between A 회사명, a corporation duly organized and existing under the laws of the A 국가명, having its principal office at 회사주소, the 국가명 (hereinafter referred to as the “Principal” A), and B 회사명, a corporation duly organized and existing under the laws of the B 국가명, having its principal office at 회사주소, the 국가명 (hereinafter referred to as the "Distributor" B). Principal A and Distributor B have mutually agreed on future 제품명(hereinafter referred to as the "Product") business as follows:
1. The Principal agrees to appoint the Distributor as Principal’s tentative exclusive distributorship in the Territory of the B 국가명 (hereinafter referred to as Territory) for a period of one(1) year from the signing date. The Principal shall supply its Products not to any third party but to the Distributor in the Territory, and the Distributor shall endeavor to promote the sale of the Products and to obtain the largest sales volume of the Products in the Territory.
2. The Distributor shall place orders to purchase the Principal’s Product, and the Principal shall supply its Product to the Distributor in accordance with Individual Contract which shall be made from time to time between the parties for each purchase of Product in form of sales contract, and which will set forth all the detail terms and conditions between the parties such as, price, payment, delivery, expense, claim, etc..
3. The Principal warrants that the Products shall be free from defects in material and workmanship for a period of twelve (12) months only from the date of shipment of the Products. The Distributor may inspect the Products in Territory at the Distributor's cost. If any of the Products is found not to be in compliance with the quality standards, the Distributor shall notify in writing the Principal of the defect of the Products in detail within one (1) week from the discharging date of the Products and the Principal shall repair or replace the Products not meeting the quality standards. This warranty does not extend to any of the said Products which have been : (1) subjected to misuse, neglect, accident or abuse, (2) improperly repaired, or altered or modified in any way unless such modification is approved in writing by Principal, and (3) used in violation of instructions furnished by the Principal.
4. The Principal shall supply the spare parts to the Distributor at a price agreed on between the parties from time to time for two (2) years after the last shipment of the Products from Principal to the Distributor, and the Principal is obligated to supply the Distributor with technical assistance such as, information and illustrated material, and to send advertising material suitable for the promotion and advertising of the Products, as in the opinion of Principal may be necessary or useful to the Distributor.
5. Claims by the Distributor in regard to any defect in the Products shall be in writing and be dispatched by the Distributor with full particulars within thirty (30) days after the receipt of the Products.
6. Any notice required or permitted to be given hereunder shall be in writing, and may be given by personal service, registered airmail, or by Email or Fax if confirmed on the same day in writing by registered airmail, with postage prepaid to the following addressed:

7. This Agreement shall become effective upon signing, and shall continue in full force and effect for a period of one (1) year from the date hereof. After the period this Agreement shall be automatically expired. And either party may discuss with the other party to enter Exclusive Distributorship Agreement.
IN WITNESS WHEREOF, the parties hereto have authorized this MOU to be executed by their respective duly authorized officers.
