국가가 서로 다른 법인간에 주식을 사고 파는 일들이 있습니다. 이런 경우에 어느 기일에 체결하는 주식매매계약(“계약”)을 어떤 형태의 법인으로서 그 주소가 어디인 갑 과 어떤 형태의 법인으로서 그 주소가 어디인 을 간에 체결하여 갑 은 아래 정한 조건으로 "매매할 주식명" 에 대해서 갑 이 가지고 있는 주식수(또는 모든 주식)를 매도하고 을 은 이를 매입하고자 하여 당사자들이 어떤 조건으로 같이 합의합니다. 라고 하는 일반적인 주식매매계약에 대해 알아봅니다.
아래는 갑 과 을 의 법인간의 주식매매에 있어 가장 일반적인 간단한 계약서 양식입니다.
1. 갑 은 아래에 정한 가격으로 갑 이 소유하고 있는 주식명과 주식수를 본 계약조건에 따라 매도하고 을 은 이를 매수하기로 한다. 이러한 매매계약은 이하 규정된 closing에 완성된다.
2. 매매가격은 을 이 closing시 전액 얼마를 약정한통화(한화, 엔, 위안, 유로, 미화불 등)로 지급한다.
3. 본 계약에 따른 갑 과 을 의 매도매수 의무는 현행 갑 과 을 간의 합작투자계약에 따른 특정 조건에 합의와 승인을 전제로 한다. 승인 또는 불승인은 최종적으로 작성되거나 서명한 날로부터 합리적인 시간내에 서면으로 상대방에게 통지되어야 한다.
4. 본 계약에 의한 거래의 closing 은 위 3. 에서 정한 조건에 따라 당사자가 상호 합의한 시간 및 장소에서 행한다. closing 시 위 2 에서 정한 주식수의 주식을 을에게 교부한다.
5. 본 계약은 을 의 주식 취득을 갑 국가의 정부가 승인하는 것을 조건으로 본 계약 당사자의 서명으로 발효한다. 을 은 갑 국가의 정부에 승인을 신청하고 즉시 갑 에게 그 승인을 받은 사실을 알려야 한다.
위를 증명하기 위하여 본 계약 당사자는 위에 기재된 일자에 서명한다.
STOCK PURCHASE AND SALE AGREEMENT
This Stock Purchase and Sales Agreement made as of this 월 일, 년 day of
(hereinafter called “Agreement”), by and between 갑, a 법인형태 corporation, with a principal office at 갑 사무살 주소 (hereinafter called “갑”) and 을, a 법인형태 corporation with a principal office at 을 사무실 주소 (hereinafter called “을”),
WHEREAS 갑 wishes to sell and 을 wishes to purchase, all of the shares of capital stock owned by 갑 in 주식명(무슨 회사의 주식, 갑이 소유한 제 3 회사의 주식일 수도 있음), on terms and conditions herein set forth,
NOW THEREFORE, the parties hereto agree as follows :
Article 1.
갑 shall sell and 을 shall purchase, at the purchase price provided for below, the 주식명과 주식수 Shares of held by 갑 upon the terms and conditions of this Agreement, such sale and purchase to be consummated at the Closing as set forth below.
Article 2.
The purchase price shall be 주식가격 payable in full at the Closing by .
Article 3.
The obligations of 갑 to sell and of 을 to purchase as provided for herein, is contingent upon the agreement and acceptance of each of the parties hereto, to the terms of a certain joint venture dissolution agreement whereby the joint venture agreement presently existing between 을 and is to be dissolved. Acceptance or nonacceptance of the terms of the above referenced dissolution agreement by each of the parties hereto, shall be communicated to the other party in writing within a reasonable time after said dissolution agreement has been drafted in final from and/or executed by the parties hereto.
Article 4.
The Closing of if the transaction by this Agreement shall occur at a time and place to be mutually agreed upon by the parties subject to the condition set forth in Article 3 above. At the Closing there shall be delivered to 을 duly endorsed stock certificate(s) representing the
Shares being purchased hereunder ; and 을 will deliver to 갑 the purchase price provided for in Article 2 hereof.
Article 5.
This Agreement becomes valid upon its execution by the parties hereto subject to an approval of the 국가명 Government for 을 ’s purchase of the shares contemplated herein. 을 shall apply for such approval to the 국가명 Government and immediately inform 갑 of its obtaining the approval.
