화의 Composition 에는 Settlement(합의 해결 청산) + Arrangement(채무 일부 면제 조정) + Court Mediation to Delay Debt Repayment(부채 재상환 지연에 대한 법원의 중재) + Court Protection for Debt Rescheduling(부채 재조정을 위한 법원의 보호) 의미가 포함됩니다.
주로 쓰이는 용어는 Composition court 화의법원, Composition case 화의사건, Composition procedure 화의절차, Composition credit/claim 화의채권, Composition creditor 화의채권자, Compromise 화해, Compromise procedure 화해절차, Compromise protocol 화해조서 등이 있습니다.
국제상사분쟁은 국제소송과는 별개로 국제중재법원(ICC International Cour of Arbitration)에서 최종해결합니다. 국제상공회의소(International Chamber of Commerce)의 후원하에 운영되는 국제중재법원은 중재인이 공식적인 판단을 내리지 않고 중재절차에 사법적 감독을 합니다.
구매자가 판매자로부터 제품을 구매하고 구매자가 제품에 품질문제(“클레임”)가 있음을 발견하고 판매자에게 클레임을 해결해 줄 것을 요구하여 상호간에 우호적으로 해결하기로 합의하는 것으로, 판매자는 구매자에게 클레임의 해결을 위해 언제까지 얼마의 비용을 지급하고, 이 비용의 금액은 제기된 클레임의 완전하고 최종적인 해결 금액임에 합의하는 것으로, 본 계약이 당사자간의 모든 합의를 규정한 것이며 클레임과 직간접적 어떤 방식의 협의 보다 우선한다는 것과, ㅇㅇ국가 법에 따라 적용 해석되고 ㅇㅇ국가 ㅇㅇ법원의 판결에 따른다는 내용의 계약서 샘플을 참고 하시기 바랍니다.
sample of SETTLEMENT AGREEMENT
This Agreement is made and entered into this ( day ) of ( month ), 200_ by and between ( A ), with its principal office at ( A 주소 ) a (hereinafter called “A”) and B Inc. with its principal office at ( B 주소 ) (hereinafter called “B”).
1. ( A ) and ( B )have had mutual transactions wherein ( B ) purchased ________ (“Products”) from ( A ) and ( A ) sold the same to ( B ).
2. ( B ) found some portions of Products had some quality problems(“Claim”) and asked ( A ) to settle Claim.
3. Both ( A ) and ( B ) had negotiations for Claim and reached an agreement to settle it amicably as follows :
3.1. within ( days), ( A ) shall pay the sum of USD ______ to ( B ) for the settlement of Claim ; and
3.2. it is agreed and understood that the aforesaid amount is given in full, final and complete settlement of Claim
4. This Agreement sets forth the entire agreement between the parties supersedes and replaces and all previous discussions, understandings, representations, negotiations and agreements, related in anyway, directly or indirectly, to Claim.
5. This Agreement shall be effective when the parties have signed this Agreement, and the payment by ( A ) shall be effective.
6. This Agreement shall be governed by and construed in accordance with the laws of the ( 국가 ) and shall be subject to the jurisdiction of ( 도시 ) Civil District Court in ( 국가 ).
IN WITNESS WHEREOF, ( A ) and ( B )have caused this Agreement to be executed in two copies by their duly authorized representative.
