국제법 연구자료로 화의계약에서 중재를 하는 중에 중재법원 결정이 나기 전에 서로 화해를 하여 만드는 계약에 대해 알아봅니다.

화의 Composition 에는 Settlement(합의 해결 청산) + Arrangement(채무 일부 면제 조정) + Court Mediation to Delay Debt Repayment(부채 재상환 지연에 대한 법원의 중재) + Court Protection for Debt Rescheduling(부채 재조정을 위한 법원의 보호) 의미가 포함됩니다.
주로 쓰이는 용어는 Composition court 화의법원, Composition case 화의사건, Composition procedure 화의절차, Composition credit/claim 화의채권, Composition creditor 화의채권자, Compromise 화해, Compromise procedure 화해절차, Compromise protocol 화해조서 등이 있습니다.
국제상사분쟁은 국제소송과는 별개로 국제중재법원(ICC International Cour of Arbitration)에서 최종해결합니다. 국제상공회의소(International Chamber of Commerce)의 후원하에 운영되는 국제중재법원은 중재인이 공식적인 판단을 내리지 않고 중재절차에 사법적 감독을 합니다.
A와 B는 A 제품의 매매를 위해 매매계약 (계약번호 )이 체결된 후 B가 수시로 계약을 변경하였고 대금을 지불하지 않아 A중재기관에 중재신청을 하여 다음 같이 B가 화해금액을 지불하는 것에 상호합의하는 것으로 본 계약과 관련하여 발생하는 비용은 B 부담하고, B가 화해금액을 지급한 이후 A는 어떤 클레임도 제기하지 않으며, 원계약과 관련된 클레임이나 채무로부터 상대방을 본 계약의 서명일로부터 면책시키며, 본 계약은 ㅇㅇ국가법에 따르고 모든 분쟁은 ㅇㅇ국가 ㅇㅇ도시에서 ㅇㅇ 상사중재원의 중재규칙에 따라 중재로 최종 해결하고, 원계약과 관련하여 당사자간의 모든 합의를 내포하며 모든 사전 합의에 우선한다는 내용의 계약서 샘플을 참고 바랍니다.
sample of Settlement Agreement
This Settlement Agreement (hereinafter called the "Agreement") is made and dated as of ( 월 ) ( 일 )th, ( 년 ) by and between A Ltd., (hereinafter called the "A") a company duly organized and existing under the laws of ____(Nation of A), having its principal office at ______ (Address of A) and B Inc., a company duly organized and existing under the laws of _____ (Nation of B), having its principal office at (Address of B).
WHREAS, Sales Contract ( No. 계약번호 ) was made on ( 월 일th, 년 ) by and between A, as a seller, and B, as a purchaser, as amended from time to time (the “Sales Contract”) to sell and purchase the (Product) but B didn’t pay the price of the (Product) to A at the amount of USD_______.
WHREAS, A filed arbitration on ( 월 the, 년 ) with the ( name of international commercial arbitration center ) at (place).
NOW, THEREFORE, in consideration of the premises and of the mutual covenants contained herein, the parties agree as follows:
1. B shall pay to A to the account notified by A:
a. USD ( ) not later than (first payment date);
0; and
b. USD ( ) not later than (last payment date).
2. All costs and expenses incurred or to be incurred on each side relating to this Agreement shall be borne by B.
3. On and after B duly pay the settlement amount specified in Article 1, B
will not make any claims and both parties shall release and discharge each other from any and all claims and liabilities which the parties ever had, have or hereafter may have against each other by reason of any cause arising out of the transaction related to Sales Contract upon and from the execution of this Agreement.
4. This Agreement shall be subject to ( 국가명n ) Law, and any dispute arising out of it shall be settled in ( 도시, 국가 ) according to the Commercial Arbitration Rules of the ( 국가명n ) Commercial Arbitration Board.
The award rendered by the arbitrator(s) shall be final and binding upon both parties concerned.
5. This Agreement embodies the entire agreement of the parties hereto with respect to the Sales Contract and supersedes all prior agreements with respect thereto.
6. This Agreement shall be effective upon the signing of this Agreement.
IN WITNESS WHEREOF, the parties hereto has caused this Agreement to be executed in duplicate in English on the date first above written by its duly authorized officer or representative.
