수출입에서 지불조건을 두고 수락반대 DA (Documents against Acceptance)와 지불반대하는 DP/DAP (Documents against Payments)의 차이를 확인하셔야 합니다. DP/DAP 지불조건에서 Buyer는 제품을 인도받기 전에 은행에 계약한 금액을 먼저 납입후 Seller로 부터 선적서류와 제품을 받 으면 Buyer 은행이 Seller 은행으로 계약금액을 보냅니다.
DP매매계약서를 Seller 입장에서 작성해 보면 다음과 같습니다.

일반약관
쌍방은 다음 조건에 합의.
1. 수량 : 계약상의 수량은 Seller가 10% 범위로 증감가능.
2. 선적 : 선하증권에 기재된 일자 (B/L date)를 선적일로 봄, 선적에 14일의 준비기간, 별도 규정이 없는 경우 분할선적 및 환적 허용, Buyer가 지정한 선박의 운항이 늦어진 경우 Seller는 선적지연에 대해 면책.
3. 포장 : 포장은 Seller의 선택, Buyer가 특별한 포장을요구시 Seller에게 충분한 시간을 주고 비용은 Buyer가 부담. Shipping Mark는 계약서 전면의 사각형에 표시된 대로 함.
4. 보험 : CIF와 CIP 조건 경우, 별도 합의가 없는 한 청구서 금액의 110%를 부보함, Buyer가 요구하는 추가보험은 Buyer 부담, 별도로 정하지 않는 한 보험은 해상보험만 FPA 또는 ICC (c) 조항에 따라 커버.
5. 비용 : 계약체결후에 운송비, 세금/공과금, 보험료, 환율 등 Seller의 원가가 상승되어 수익이 감소하는 경우 Buyer가 보상. 또한 Buyer가 선적연기를 요청해 제품을 보관하는 비용은 Buyer 부담.
6. 지급 : 선적 후, Seller가 Buyer에게 선적서류를 제시하면 L/C 대금 즉시 지급.
7. 검사: 지정한 국가의 수출입 규정에 따르거나 제조업자가 직접 검사, 이 검사를 최종적으로 함, Buyer가 따로 검사를 원해서 추가되는 비용은 Buyer 부담으로 청구.
8. 품질보증 : 제품은 계약에 부합함, 선적일로부터 12개월간 재료 및 공정에 이상 없음을 보장, Seller의 보증한도는 하자품 수리 또는 교환에 그침. (a) 질못 사용되거나, 허술히 다뤄지거나, 사고났거나 남용된 경우 (b) Seller 외 다른 사림이 수리, 설치, 운반, 변경한 경우 (c) Seller의 지시를 위반한 경우 보증불가. 본 조항 규정외에는 명시적이든 묵시적이든 어떤 보증도 불가. 상품성보장 및 특별보장 불가. Seller는 영업이익상실, 간접적 우연적 결과적 손해에 대한 책임 없음.
9. 클레임 : Buyer가 클레임 제기하려면 선하증권에 기재된 도착항에 제품이 도착한 날로부터 30일 이내에 fax나 cable로 제기. 클레임 상세내역은 서면으로 위 fax나 cable로 제기한 날로부터 15일내에 우편으로 제출. 상품의 수량과 품질에 다툼이 있는 경우 위 클레임 상세내역과 함께 Buyer가 인정한 검사인이 작성한 검사보고서를 Seller에게 제출. 기한 내에 클레임을 제기하지 못할 경우 제품 인수 및 조건충족 동의로 인정.
10. 구제 : Buyer가 파산이나 지급불능으로 계약불이행 경우 사전 통보없이 다음 수단을 행사. (a) 계약해지 (b) 불이행 부분에 계약해지하고 제품매각하여 Buyer에게 계약금액과 매각금액의 차액을 징구하거나 (c) 미선적부분에 계약을 해지하고 Buyer에게 미선적 금액의 5%를 손해배상액으로 징구, 이로서 Seller에게 유보된 권리는 누적되며 법률상 인정되는 여타의 구제수단에 추가 인정됨에 동의.
11. 불가항력: 의무불이행이 다음(국한되는 것은 아님)과 같은 통제할 수 없는 상황의 직접결과로 발생되었을 경우 면책함. (수출금지, 수출면허의 정지 기타 정부제한, 천재지변, 전쟁, 해상봉쇄, 혁명, 내란, 동원, 파업, 직장폐쇄 또는 기타 노동분규, 민란, 소요, 질병 또는 기타 역병, 화재, 태풍, 홍수)
12. 특허, 상표, 디자인, 무늬 등 : Buyer는 특허, 상표, 저작권, 디자인, 무늬 등과 관련된 일체의 침해책임으로부터 Seller를 면책시켜야 함.
13. 적용법 : 본 계약은 기재된 국가법에 따름.
14. 중재 : 모든 분쟁은 기재된 도시, 국가의 상사중재원 중재규칙에 따라 중재로 해결, 중재인이 내린 판정을 최종으로 함.
15. 용어 : 본 계약의 용어는 국제상업회의소의 INCOTERMS 2020에 따라 해석.

GENERAL TERMS AND CONDITIONS

Both parties agree to the following terms and conditions :
1. Quantity :
Quantity set forth in this Contract is subject to a variation of ten (10) percent more or less at Seller's option.
2. Shipment :
Date of bill of lading shall be accepted as a conclusive date of shipment. Fourteen (14) days grace in shipping shall be allowed. Partial shipment and/or transshipment shall be permitted unless otherwise stated in this Contract. Seller shall not be responsible for any delay of shipment, in case the sailing of the steamer designated by Buyer be deferred beyond the prearranged date of shipment.
3. Packing :
Packing shall be at Seller's option. In case special instructions are necessary, Buyer should notify Seller thereof in time to enable Seller to comply with the same and all additional cost thereby incurred shall be borne by Buyer. Shipping Mark shall be made as shown in the oblong of the front page of this Contract.
4. Insurance :
In case of CIF or CIP basis, 110% of the invoice amount shall be insured, unless otherwise agreed; any additional insurance required by Buyer to be at his own expense; unless otherwise stated, insurance to be covered for marine insurance only FPA or ICC (C) Clause. Seller may, if he deems it necessary, insure against additional risks at Buyer's expense.
5. Increased costs:
If Seller's costs of performance are increased after the date of this Contract by reason of increased freight rates, taxes or other governmental charges or insurance rates, or if any variation in rates of exchange increases Seller's costs or reduces Seller's return, Buyer agrees to compensate Seller for such increased cost or loss of income. Further, if at any time Buyer requests shipment later than agreed and Seller agrees thereto, Seller may, upon completion of manufacture, store the Goods and charge all expenses thereby incurred to Buyer, plus reasonable storage charges when Seller stores the Goods in its own facilities.
6. Payment :
After shipment, the Seller shall deliver a sight bill(s) of ex-change drawn on the Buyer together with the required documents to the Buyer through a bank. The Buyer shall effect the payment immediately upon the first presentation of the bill (s) of exchange and the required documents, i.e. D/P.
7. Inspection :
The inspection of the Goods shall be done according to the export regulation of the ( 검사할 국가명 Country name ) and/or by the manufacturer(s) which shall be considered as final. Should any specific inspector be designated by Buyer, all additional charges incurred thereby shall be at Buyer's account and shall be added to the invoice amount.
8. Warranty :
The Goods shall conform to the specification set forth in this Contract and free from defects in material and workmanship for twelve(12) months from the date of shipment. The extent of Seller's liability under this warranty shall be limited to the repair or replacement as herein provided of any defective Goods or parts thereof. Provided, however, this warranty does not extend to any of the said Goods which have been : (a) subjected to misuse, neglect, accident or abuse, (b) improperly repaired, installed, transported, altered or modified in any way by any other party than Seller or (c) used in violation of instructions furnished by Seller. EXCEPT FOR THE EXPRESS LIMITED WARRANTIES SET FORTH IN THIS ARTICLE, SELLER MAKES NO OTHER WARRANTY TO BUYER, EXPRESS OR IMPLIED, AND HEREBY EXPRESSLY DISCLAIMS ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. In no event shall Seller be liable to Buyer under this Contract or otherwise for any lost profits or for indirect, incidental or consequential damages for any reason.
9. Claims :
Any claim by Buyer of whatever nature arising under this Contract shall be made by facsimile or cable within thirty(30) days after arrival of the Goods at the destination specified in the bills of lading. Full particulars of such claim shall be made in writing, and forwarded by registered mail to Seller within fifteen(15) days after such fax or cabling. Buyer must submit with particulars the inspection report sworn by a reputable surveyor acceptable to the Seller when the quality or quantity of the Goods delivered is in dispute. Failure to make such claim within such period shall constitute acceptance of shipment and agreement of Buyer that such shipment fully complies with applicable terms and conditions.
10. Remedy :
Buyer shall, without limitation, be in default of this Contract, if Buyer shall become insolvent, bankrupt or fail to make any payment to Seller within the due period. In the event of Buyer's default, Seller may without prior notice thereof to Buyer exercise any of the following remedies among others : (a) terminate this Contract; (b) terminate this Contract as to the portion of the Goods in default only and resell them and recover from Buyer the difference between the price set forth in this Contract and the price obtained upon resale, plus any incidental loss or expense; or (c) terminate the Contract as to any unshipped balance and recover from Buyer as liquidated damages, a sum of five (5) percent of the price of the unshipped balance. Further, it is agreed that the rights and remedies herein reserved to Seller shall be cumulative and in addition to any other or further rights and remedies available at law.
11. Force Majeure :
Neither party shall be liable for its failure to perform its obligations hereunder if such failure is the direct result of circumstances beyond that party's reasonable control, including but not limited to, prohibition of exportation, suspension of issuance of export license or other government restriction, act of God, war, blockade, revolution, insurrection, mobilization, strike, lockout or any labor dispute, civil commotion, riot, plague or other epidemic, fire, typhoon, flood.
12. Patents, Trade Marks, Designs, etc. :
Buyer is to hold Seller harmless from liability for any infringement with regard to patent, trade mark, copyright, design, pattern, etc., originated or chosen by Buyer.
13, Governing Law :
This Contract shall be governed under the laws of ( 준거법 적용 국가명 Country name ).
14, Arbitration :
All disputes, controversies, or differences which may arise between the parties, out of or in relation to or in connection with this Contract, or for the breach thereof, shall be finally settled by arbitration in ( 도시명, 국가명 City, Country ) in accordance with the Commercial Arbitration Rules of the ( 민족명 ) Commercial Arbitration Board. The award rendered by the arbitrator(s) shall be final and binding upon both parties concerned.
15. Trade Terms :
All trade terms provided in the Contract shall be interpreted in accordance with the latest INCOTERMS 2020 of International Chamber of Commerce.
