국제법 연구자료로 추가계약 Additional Contract 에 대해 알아봅니다
국제계약은 한번 체결되기가 쉽지 않지만, 체결된 계약을 파기 하기도 쉽지가 않습니다.
그래서 일방의 불이행이 있더라도 기체결된 원계약을 파기해 관계를 단절하기 보다 원계약의 일부를 변경한 추가계약을 체결해서 관계를 유지하는 경우가 많습니다.
당사자간에 년 월 일에 체결한 원계약으로 긴밀한 협력관계를 지속하기 바라면서, 원계약상 의무를 불이행한 조항을 수정하고, 사업을 성공적으로 수행하기 위해 추가계약을 합의하는 경우에 대해 알아봅니다.
선적 일정 조정으로 분할선적, 각 화물량, 총 3회 선적분의 합계가 위 총 물량의 5%내외일 경우 계약은 이행된 것으로 간주, 5% 이내로 증감된 상품은 계약가액으로 결제하기로 하고, 갑은 을이 지정한 선박에의 화물선적을 준비하기.
1차 선적
화물준비 : 갑은 년 월 일 까지 화물선적 준비와 수출서류 준비.
선박도착 : 년 월 일부터 년 월 일까지.
대금지급 : L/C 번호는 본 선적분을 위해 변경. L/C의 총 물량 및 금액은 톤(5%내외 허용) 및 미화불 (USD) (5%내외허용)
2차 선적
화물 준비 : 갑은 년 월 일까지 화물선적 준비와 수출서류 준비.
선박도착 : 년 월 일부터 년 월 일까지.
대금지급 : 원계약 수정 조건과 일치하는 취소불능일람불신용장으로 하며 년 월 일 이전에 개설하고 원계약에 규정된 서류 제시.
3차 최종 선적
화물 준비 : 갑은 년 월 일 까지 화물선적 준비와 수출서류 준비.
선박도착 : 년 월 일부터 년 월 일 까지.
대금지급: 원계약 수정조건과 일치하는 취소불능일람불신용장으로 하며 년 월 일 이전에 개설하고 원계약에 규정된 서류 제시.
불이행시 갑이 본 추가계약을 위반할 경우 원계약 또는 원계약과 관련된 것을 포함하여 을에게 발생된 손해 배상책임 있기.
해지는 갑이 본 추가계약에 규정된 선적을 준비하지 못할 경우 을은 어떤 의무도 없이 단지 갑에게 해지를 통보함으로써, 본 계약을 즉시 해지 할 수 있고, 추가계약의 해지는 그 이전의 계약 불이행에 따라 지급받을 보상에 영향을 미치지 않기.
추가계약에 명시적으로 합의되거나 수정되지 않는 한 원계약 조건은 계속 효력이 있음을 증명하기 위하여 당사자들은 그 정당하게 수권 받은 임원들에 의해서 서두에 기재된 날짜에 이 계약이 서명 되게 하였다는 내용의 아래 영문 추가계약서를 참고하시기 바랍니다.
sample of ADDITIONAL CONTRACT
This Additional Contract(hereinafter referred to as “Additional Contract”) made and entered into on 추가계약체결일 by and between 수출자 A, a company duly organized and existing under the laws of 수출자 A의 국가명 and having its principal office at 수출자 A의 주소(hereinafter referred to as *A") and 수입자 B, a corporation duly organized and existing under the laws of 수입자 B 국가명 and having its principal office at 수입자 B의 주소(hereinafter referred to as “B”)
WITNESSETH
WHEREAS, the parties hereto have executed Contract (No. 원계약번호) on 월 일, 년(hereinafter referred to as "Original Contract"), and
WHEREAS, the parties hereto desire to keep the closer co-operative relationship between themselves and to amend some provisions of the Original Contract due to "A" ’s breach under Original Contract and to make an addendum in order to perform their businesses successfully.
NOW, THEREFORE, in consideration of the mutual agreements and covenants herein, the parties hereto agree as follows:
Article 1. Rescheduling of shipment
1. Original Contract will be completed through three installment shipments. Each cargo quantity shall be (몇 톤)Metric tons, (몇 톤)Metric tons and (몇 톤)Metric tons. If sum of quantity delivered by 3(three) separate shipment fall within range of 5% more or less of total quantity, contract deems to be completed. Goods which deviate from (총 몇 톤)Metric tons within range of 5% more or less, shall be settled at contract price.
2. "A" shall arrange the loading of cargo on the vessel designated by "A" in priority order.
Article 2. Shipment for First
1. Cargo readiness: "A" shall make cargo ready for loading and prepare all export documents by 월 일, 년
2. Vessel arrival time: from 월 일, 년 to 월 일, 년, both dates inclusive
3. Payment: L/C under the number of 신용장번호 will be amended for this shipment. Total quantity and amount of L/C will be (몇 톤)Metric tons(5% more or less) and USD (금액)(5% more or less)
Article 3. Shipment for Second
1. Cargo readiness: "A" shall make cargo ready for loading and prepare all export documents by 월 일, 년
2. Vessel arrival time: from 월 일, 년 to 월 일, 년, both dates inclusive
3. Payment: By irrevocable at sight letter of credit in conformity with the terms and conditions of Original Contract as amended hereby. L/C shall be opened before 월 일, 년 and be negotiable on presentation of the documents as set forth in Original Contract.
Article 4. Shipment for Third
1. Cargo readiness: "A" shall make cargo ready for loading and prepare all export documents by 월 일, 년.
2. Vessel arrival time: from 월 일, 년 to 월 일, 년, both dates inclusive.
3. Payment: By irrevocable at sight letter of credit in conformity with the terms and conditions of Original Contract as amended hereby. L/C shall be opened before 월 일, 년 and be negotiable on presentation of the documents as set forth in Original Contract.
Article 5. Non-performance
In case "A" breaches this Additional Contract, "B" shall have the right to claim against "A" and "B" shall compensate "A" any and all damages, costs and expenses including legal cost and lost profit and so on incurred to "A" thereby including but not limited to those in connection with and raised out of the Original Contract.
Article 6. Termination
1. If "A" fails to make the cargo ready for any of the first, second, balance shipment stipulated in the article 2, 3, 4 of this Additional Contract, "B" may terminate this Agreement immediately and without incurring thereby any liability to "A", by merely serving a notice of termination on "A".
2. Termination of this Agreement is without prejudice to any claim of "B" against "A" for any antecedent breach and to the right of "B" to recover damage, loss, compensation and all sums payable under the Original Contract.
Article 7. Other Contents
Except as hereinabove expressly agreed and amended, all of the terms and conditions of the Original Contract shall continue in full force and effect.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed by their authorized officers as of the date first above written.
