2021년 첫 국제법 연구자료로 스폰서십(후원) 계약 Sponsorship Agreement 에 대해서 알아봅니다.
주후원자의 홍보를 조건으로 하는 후원계약에서는 다음과 같은 조건들을 명확히 기재해야 합니다.
후원자와 피후원자의 이름과 연락주소, 후원할 이벤트명, 홍보 조건(이벤트명과 로고 사용권), 후원의 형태(성금, 물품 등), 계약 당사자의 의무 (다른 공동후원자와 협력, 예산 추가확보를 위해 공식공급자 추가시 주후원자의 경쟁자 선정금지, 주후원자의 서면승인 없이 경쟁 제품 공급금지, 주후원자로서 권리 침해 판단할 경우 결정을 유보, 공급자간 필요제품은 무상제공이 아닌 공급자간 구매, 후원자에게 지정기긴내 완전한 이벤트 스케줄을 제시하고 확약 받고 변경이나 수정시 즉시후원자에게 고지, 피후원자는 이벤트중 발생되는 사고에 대해서 책임, 후훤금 지급기간 내에 후원금 지급, 주후원자는 선정된 다른 공급자들을 파트너로 인정하고 협력, 주후원자 혜택 (Exposire: 이벤트 명칭 사용할 권리로 주후원자 사실을 광고나 전시(포장/로고/마스코트), TV (화면에 계약한 공식 명칭 사용, 공식 media 특별 프로그램에 PPL 같은 TV commercial을 할 권리, pre-note spot 화면에 나올 권리), 인터넷 (인터넷 홈페이지에 추가로 공지할 권한, 로고를 삽입하거나 홈페이지에 link), 신문 및 기타 미디어 (후원자 로고를 보도자료/포스터/신청서/팜플렛/브로셔에 표시), 판촉활동권리, 후원사항 (총액, 지급일자별 배분율), 보증사항 (계약 체결 권한, 계약상의 의무와 직무를 전문적으로 수행할 시설과 기슬인력과 필요한 면허 보유), 계약기간, 계약해지 조건, 계약연장 우선권 부여, 법 적용 국가 선정, 분쟁해결 (지정국가의 상사중재원 판결), 면책 (책임을 이행하지 않거나 부적절히 행하는 경우 발생된 손해에 배상), 불가항력 (홍수, 불가피한 사고, 정부규제, 소요, 반란 등 당사자의 합리적 통제를 벗어난 사유의 경우 계약 불이행이나 이행지체에 책임이 없으나 사유가 발생한 사실을 알리고 사유가 해제되는 즉시 의무이행), 권리와 의무 양도금지, 전체계약 합의 및 무서명 계약불포기, 주후원자 혜택.

Sample of Sponsorship Agreement
This Agreement is entered into on 월, 일, 연도 (“Effective Date”), by and between A Corp. having its principal office at _A 주소_ (hereinafter referred to as “A”) and B Group, having its office at _B 주소_(hereinafter referred to as “Br”) regarding 이벤트명 (hereinafter referred to as “EVENT”)
1. Objective
B is the supervisor of the EVENT and desires to search for the main sponsor of the EVENT.
A desires to be the main sponsor of the EVENT subject to using the main sponsor benefit.
Under the terms and conditions of this Agreement:
1.1. A shall make monetary contribution into Wonder’s activities of the EVENT in consideration of Wonder’s extensive advertising of World and World’s products.
1.2. B agrees to designate A as the main sponsor of EVENT and allows A to use the benefits of the main sponsor in commercial purposes on reimbursable basis.
1.3. B grants A the right to use official properties of the EVENT including name, logos, emblem and additional events related to the EVENT in commercial purpose.
2. Description of the EVENT
2.1. Title: 이벤트명
2.2. Duration of the EVENT: 월 일, 연도 to 월 일, 연도
2.3. Contents of the EVENT

3. Obligations of Parties
3.1. B shall make additional budget by getting official suppliers in cooperation with other co-sponsor.
3.2. Official suppliers shall not be competitors of A and shall not supply any products that are competitive with those of A without prior written consent of B.
3.3. Before making any commitment with official suppliers, B shall get the prior written consent of A, which consent may be withheld by A at its discretion when the official supplier, at A's discretion, could harm the right of A as the main sponsor.
3.4. If official suppliers want to provide A with any products A produce for the EVENT, official suppliers must procure them from A.
3.5. B shall provide A with all of the of main sponsor benefits benefits mentioned in Article 4.
3.6. B shall present the complete schedule of the EVENT no later than 월 일, 연도 and shall get a confirmation from A.
3.7. B shall inform A immediately when there is any change or modification of contents and/or schedule of the EVENT.
3.8. B shall arrange emergency plan and take the responsibility for any accident that could occur during the EVENT.
3.9. A shall provide sponsorship fee in compensation for the main sponsor benefit within due days mentioned in Article 5.
3.10. A will recognise the official suppliers as the partners for the EVENT and cooperate with the official suppliers for the successful EVENT.
3.11. A and B shall cooperate with each other for the successful EVENT.
4. Main Sponsor Benefit
As the main sponsor of the EVENT, A is entitled to use the property of the EVENT in commercial purpose as follows, the details of which are specified in Attachment A attached hereto.
4.1. Naming Right: A shall be entitled to have the naming right to maximize their exposure.
4.2. Designation: A shall be entitled to take out or publicize the fact thatit is the main sponsor of the EVENT, for example, “A is the Main Sponsor of 이벤트명” in all its advertising materials, display, packaging.
4.3. Association: A shall be entitled to take advantage of logo, emblem, mascot, etc. to associate with the EVENT.
4.4.TV exposure
4.4.1. All of the exposure of the EVENT title on the screen shall be the official title mentioned in sub-article 2.1.
4.4.2. A shall have the right of TV commercials of the special programs operated by media partner.
4.4.3. A shall be exposed on the screen in the pre-note spot.
4.4.4. B shall make a written report of media promotion plan by 월 일, 연도.
4.5. Internet
4.5.1. A shall have the right of additional exposure on the internet website of the EVENT.
4.5.2. A shall be entitled to insert its logo and linkage on the website.
4.6. Newspaper
4.6.1. B shall include A logo on all of the media release distributed by B.
4.6.2. B shall try its best to induce other media to include the exposure of A in its article related to the EVENT.
4.7. Other media: A shall have additional right of exposure on posters, applications, pamphlets and brochures.
4.8.Promotion
4.8.1. A shall be entitled to operate promotional activities related to the EVENT to leverage their sponsorship of the EVENT.
4.8.2. A shall have priority for the additional promotion events related to the EVENT as the main sponsor.
4.8.3. A shall be entitled to set a joint promotion activity with the official suppliers.
4.8.4. A will notify B of all promotional activities planning no later than 월 일, 연도.
5. Financial Conditions
5.1.Total Sponsorship Fee: Total amount of the sponsorship fee for the EVENT as the main sponsor is US$ 총후원액 (Including VAT 부가세요율).
5.2.Payment Schedule: All the payments to B by A under this Agreement shall be made as follows upon B invoice therefor.
1st Payment : 40% of the total sponsorship fee (within 월 일, 연도 이내에)
2nd Payment : 30% of the total sponsorship fee (within 월 일, 연도 이내에)
3rd Payment : 20% of the total sponsorship fee (within 월 일, 연도 이내에)
4th Payment : 10% of the total sponsorship fee (within 10day after completion of EVENT )
5.3. The currency of payments according to this Agreement shall be US dollar.
6. Warranty
B warrants that
a) it has the necessary power and authority to enter into this Agreement;
b) it has the necessary facilities, personnel and skills to perform its obligations and duties under this Agreement in a professional manner;
c) it has all necessary lease, licenses, authorities and consents to provide the rights and benefits set forth in this Agreement;
d) it has the power and authority to grant to A all of the rights and benefits purported to be granted by B under this Agreement; and
e) it complies and will continue to comply with the rules and regulations of competent jurisdiction for EVENT.
B hereby agrees to indemnify A against any liability which A incurs or is liable to incur in respect of any breach by B of any of the terms and conditions of this Agreement.
7. Term and Termination
7.1.This Agreement shall be effective from the Effective Date until 월 일, 연도.
7.2. This Agreement may be terminated before the date of expiration on mutual written agreement of the both parties.
7.3. Either party may terminate this Agreement if the other party commits a material breach of this Agreement and such breach is either not curable, or not cured by defaulting party within (몇 일 이내에) days from the date when the defaulting party received the written notice from the non-defaulting party, or if either party making an assignment for the benefit of creditors, or being adjudged bankrupt, or insolvent, or filing any petition seeking for itself any arrangement for dissolution and liquidation of its interests.
7.4. If this Agreement is terminated for any reason attributable to A before the term expires, A will pay the costs and expenses actually used and incurred in accordance with the B’s prompt written report within the limitation of the total sponsorship fee.
If this Agreement is terminated for any reason attributable to B Planning before the term expires, B will pay ten percent (10%) of the total sponsorship fee as liquidated damages.
8. Right of First Renewal
A shall have the right of first renewal for 다음해 이벤트명 (hereinafter referred to “다음해 이벤트명 축약”).
In the event that A desires to be the main sponsor of the 다음해 이벤트명 축약, A shall follow in the following steps:
8.1. A shall notify B by a registered letter about its intention to exercise the right of first renewal agreement for 다음해 이벤트명 축약 no later than 월 일, 연도.
8.2. The parties hereto shall undertake to negotiate in good faith the financial conditions of a new agreement of the 다음해 이벤트명 축약 within 몇 일 이내에 days after B’s receipt of the above registered letter.
8.3. If both parties do not reach an agreement for 다음해 이벤트명 축약 within the period indicated above, Wonder may conclude an agreement with any third party.
9. Governing Law and Disputes Settlement
9.1. This Agreement is governed by and construed in accordance with the law of the 법 적용할 준거법 국가명.
9.2. All disputes arising out of or in connection with this Agreement, which the parties do not resolve in good faith within 몇 일 이내에 분쟁이 해결되지 않으면 days after either party notifies the other party of its desire to arbitrate such dispute or controversy, shall be settled by arbitration in 중재법원 소재 도시와 국가명 in accordance with the Commercial Arbitration Rules of the 적용할 국가의 상사중재원명 (축약명).
The arbitration award shall be final and binding and a judgement consistent therewith may be entered by any court of competent jurisdiction. The arbitrator shall not have the power to render an award of punitive damages. To the extent of any conflict, this paragraph shall supersede and control 상사중재원 축약명 rules.
10. Indemnification
(손해/손실 보상/배상 책임부담을 정하는 것이며 면책이라고도 사용되는데, 이것은 책임면제인 exemption과 다르며 의무위반인 breach에 따른 손해배상과도 다름.)
10.1. In case of non-fulfilment or inappropriate fulfilment of their duties and responsibilities according to this Agreement, both parties hereto agree that the losses and damages occurred to non-defaulting party, excluding loss of profit, shall be compensated by the defaulting party.
11. Force Majeure
Neither party shall be liable to the other party for non-performance or delay in performance of any of its obligations under this Agreement due to causes beyond its reasonable control, including but not limited to the flood, unavoidable accident, government regulation, riot, and insurrection. Upon the occurrence of such a force majeure condition, the effected party shall immediately notify the other party of any event of force majeure and inform the other party of any further developments. Immediately after the cause is removed, the effected party shall perform such obligations with all due speed.
12. No Assignment
None of the parties hereto shall assign this Agreement or any rights or obligations hereunder shall not be assigned nor otherwise transferred by either party in whole or in part and shall not inure to the benefit of any trustee by operation of law or otherwise without the prior written consent of the other party and any assignment or transfer without such consent shall be null and void.
13.Entire Agreement and No Waiver
13.1. This Agreement contains the entire agreement between the parties hereto as to the subject matter hereof and supersede any previous or contemporaneous understandings, commitments, oral or written, as to such subject matter.
13.2. No modification or waiver of any of the provisions of this Agreement shall be valid unless in writing and signed by the parties hereto.
