국제계약 중에서 인수, 양도, 양수에 관련된 계약에 대해 알아봅니다.
일반적으로 양도계약은 계약인수가 계약상 지위의 양도, 양수이므로 민법상 명문의 규정은 없지만 사적자치의 원칙상 이를 허용합니다.
계약인수는 계약당사자로서의 지위의 승계를 목적으로 하는 경우 3자가 대면하여 계약하는 것이 통상적이지만, 관계 당사자 중 A, B의 합의와 나머지 당사자 C 이를 동의 내지 승낙하는 방법으로도 가능합니다.
종전에는 소유권이전등기청구권을 채권적 청구권으로 보면서도 ‘3자 합의설’의 이론구성에 의거하여 그 양도성을 제한하여 왔는데 최근에는 또 다른 논거로서 매매로 인한 소유권이전등기청구권은 그 ‘이행과정에 신뢰관계’가 따른다는 것을 이유로, 특별한 사정이 없는 이상 권리의 성질상 양도가 제한되어, 통상의 채권양도와 달리 채무자에 대한 통지만으로는 채무자에 대한 대항력이 생기지 않으며 반드시 채무자의 동의나 승낙을 받아야 대항력이 생깁니다.
국제계약을 양도하실 때에는 계약서에 체결일자, 당사자 개인 또는 법인 국가 및 주소, 원래 계약명, 변경내용, 원래 계약 및 원래 계약상의 권리와 의무 양도 양수 합의 내용, 양도자 A의 원래 계약과 관련된 모든 권리와 의무를 양도일자에 양수자 B에 양도 한다는 점, 양수자는 양도를 수락하고 수행할 원래 계약의 모든 조건들을 이행하고 본 계약서에 포함된 모든 조건과 합의 사항을 이행할 것에 동의한다는 점, 허가자 C는 본 계약에 따른 원래 계약의 양도에 동의하며 A 및 B에게 원래 계약 양도에 대한 승낙을 한다는 점, 양도계약이 당사자들이 서명한 날로부터 발효한다는 점, C가 B에게 하는 모든 통보는 B가 C에게 서면통지를 하지 않는 한 양도계약서에 적힌 연락처로 한다는 점, 원래 계약의 조건은 여기 규정되지 않는 한 계속 효력이 있다는 점, 이를 증명하기 위해 당사자 A, B, C들은 본 양도계약이 그들의 정당하게 수권 받은 대리인에 의해서 서명 되도록 하였다는 점. A와 B가 서명하고 C가 확인하고 동의하였다는 점이 기본적으로 기재되어야 합니다,

sample of ASSIGNMENT AGREEMENT
This Assignment Agreement is made this (일자)th day of (월), (연도) by and between:
A CORPORATION, a corporation organized and existing under the laws of -----------(A 국가명), having its principal office at ---------------(A 주소) (the "A"); and
B CORPORATION, a corporation organized and existing under the laws of ------------(B 국가명), having its principal office at -------------(B 주소) (the "B")
WITNESSETH
WHEREAS, C CORPORATION, a corporation duly organized and existing under the laws of the ----------------(C 국가명), having its principal office at ---------------(C 주소) (the "C") and A have made an ----------------(원래 계약명) on -----------------(원래 계약 체결했던 일자) including any and all amendments (the "AGREEMENT") for the manufacture, sale of the ----------------(제품명 Products) ;
WHEREAS, A wishes to assign the AGREEMENT and any and all rights and obligations thereunder to B and B also wishes to
accept such assignment.
NOW, THEREFORE, in consideration of the above, the parties here to agree as follows ;
1. A does hereby assign any and all of its rights and obligations under or in
connection with the AGREEMENT to B as of the ----------------(양도 계약 체결일자).
2. B dose hereby accept such assignment as herein above mentioned and hereby
covenant and agree to perform all the terms and conditions of AGREEMENT on its part to be performed. Further B does hereby accept to be bound and does hereby covenant and agree to perform all the terms, conditions and agreements contained in the AGREEMENT.
3. C hereby agrees to, and gives A and B consent to, the assignment of the
AGREEMENT hereunder.
4. This ASSIGNMENT AGREEMENT shall be effective from the date when the parties hereto have signed it.
5. Any notice or other communication to be made by C to B shall be sent to the following address, unless B shall otherwise notify C in writing ;

원래 계약의 조건은 여기 규정되지 않는 한 계속 효력이 있으니 수정사항을 여기에 정확히 기재 하기 If there is any clause to be amended due to this assignment, please describe it exactly.
6. All terms and conditions of the AGREEMENT except as otherwise provided herein shall remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have caused this ASSIGNMENT
AGREEMENT to be excused by their duly authorized representatives.
