일람불 신용장으로 구매 계약을 체결하는 At sight L/C Purchase Agreement 에 대해 알아봅니다.
신용장(Letter of Credit, L/C)은 매도인이 계약된 의무를 이행하였고, 물품 · 용역이 계약대로 제공되었다는 것을 입증하는 서류로, 매도인은 매수인으로 부터 받을 대금을 이 신용장을 발행한 금융기관에 반환하여 지급을 받습니다.
지급을 받을 수 있다는 신용을 보증하기 위해 발행하는 신용장은 명시된 조건에 일치하는 서류를 제출하면 이와 상환으로 은행이 물품대금의 지급 · 인수 또는 매입을 보장한다는 조건부 지급 확약증서로 사용됩니다.
원활한 무역결제를 위하여 매수인의 요청과 지시에 따라 매도인으로 하여금 일정 기간 및 조건 아래 운송서류를 담보로 하여 발행은행(또는 발행은행이 지정하는 환거래은행)을 지급인 Drawee로 한 화환어음을 발행합니다. 매수인의 결제시점에 따라 일람불 At sight L/C (매도인이 선적후 서류를 은행을 통해 매수인에게 제시하면 매수인이 대금을 결제하고 선적서류를 찾아가는) 와 기한부 Usance L/C (매도인이 선적후 일정기간이 지나서 매수인이 대금을 결제하는 Shipper's usance/Banker's usance)가 있습니다.
신용장은 무역에서 신용장 통일규칙으로 알려진 국제상공회의소에 규정에 따릅니다.

General Terms and Conditions
The purchase specified on the face hereof shall be subject to the following terms and conditions:
(전면에 지정된 구매는 다음 조건에 따른다.)
Licenses : Seller, at its own expense, shall obtain any and all necessary permits or licenses to export Goods from the country of shipment and/or to import, sell, use or otherwise dispose of Goods, in any countries where such Goods are imported, sold, used, or otherwise disposed of.
(설명: 위와 같이 면허는 매도인의 비용으로 선적국으로부터 상품을 수출하거나, 상품이 수입,판매, 사용, 거래되는 국가로 상품을 수입, 판매,기타 처분하는데 필요한 모든 면허나 허가를 받아야 한다.)
Shipment : Time of shipment is the essence of this Contract. Should Seller delay shipment of Goods for other reasons than those set forth in Force Majeure clause, Buyer may :(a) cancel this Contract in whole or in part, and/or (b) request Seller to compensate for any and all damages incurred to Buyer and any special premium transportation or other costs required for Goods to arrive at the destination as if Goods be shipped as scheduled.
(설명: 위와 같이 선적시기는 본 계약의 요건이다. 매도인이 불가항력조항에 규정된 사유 이외의 사유로 선적을 지연시킬 경우, 매수인은 (a) 본 계약의 전부 또는 일부를 취소 또는/그리고 (b) 매수인이 입은 모든 손해의 배상 및 상품의 도착시기를 맞추기 위해 소요된 추가운임이나 기타 경비의 보상을 청구할 수 있다. / 또는 선하증권에 기재된 일자가 (B/L date)가 선적일이 된다. 선적에는 14일의 준비기간이 허용되어야 한다. 계약에 별도 규정이 없는 경우 분할선적 및 환적이 허용된다. 매수인이 본 계약조건에 의한 신용장을 제때에 제공하지 못하거나 매수인이 지정한 선박의 항해가 사전 결정된 선적일보다 늦어진 경우 매도인은 선적지연에 대해 책임이 없다.)
Packing : Seller shall pack Goods in strong wooden(s), in carton(s), or in others suitable for long distance ocean/parcel post/air freight transportation and for change of climate, well protected against moisture and shocks. Seller shall be liable for any damage of Goods and expenses incident thereto on account of improper packing and/or improper protective measures taken by Seller.
(설명: 위와 같이 포장에 관련해 매도인은 화물을 견고한 목재, 카톤이나 기타 적절한 포장을 하여 장기해상운송/우편화물/ 항공화물에 적합하고 기후변화에 대비하며 습기나 충격으로부터도 보호되어야 한다. 매도인은 포장불량으로 인한 상품 손상 및 부대비용을 책임진다. / 또는 포장은 매도인의 선택사항이다. 특별한 지시가 필요한 경우, 매수인은 매도인이 동 지시를 따르는데 충분한 시간을 갖도록 적절한 시간을 두고 매도인에게 통보하며 이로 인하여 발생되는 추가 비용은 매수인이 부담한다. Shipping Mark는 본 계약서 전면에 표시된 대로 한다.)
Extra Expenses : Should the freight, insurance premium and other extra expenses at the time of shipment be raised or charged owing to unexpected changes of circumstances after this Contract is executed, such differences and/or additional expenses shall be borne by Seller.
(설명: 위와 같이 추가비용은 본 계약 서명 이후 선적시 운임, 보험료 기타 비용이 증가되거나 예측할수 없는 사정의 변경으로 부과되는 경우 그 증가분이나 부과분은 매도인의 부담이었다. / 또는 매도인의 원가가 본 계약체결일 이후에 운임인상, 세금 기타 정부 부과금 또는 보험료로 상승되거나, 환율변동이 매도인의 원가를 상승시키거나 매도인의 수익을 감소시키는 경우 매수인은 매도인의 이러한 원가상승이나 수익감소를 보상하기로 하고 매수인이 선적연기를 요청하고 매도인이 이에 동의하는 경우 매도인은 생산완료후 제품을 보관할 수 있으며 이에 따른 모든 비용은 매수인의 부담으로 한다. 상품이 매도인의 시설에 보관되는 경우 적절한 보관료가 추가된다는 조건을 설전하기도 한다.)
Insurance : In the event of CIF or CIP Contract, insurance shall be effected by Seller. Such insurance shall be effected at one hundred ten percent (110%) of the invoice amount, shall be issued by a first class underwriter and cover all risks. Any insurance not set forth herein shall be arranged by Seller whenever requested by Buyer at the cost of Seller.
(설명: 위와 같이 보험에서는 CIF 또는 CIP 조건일 경우, 보험은 매도인이 부보한다. 보험은 청구서 금액의 110%를 일류보험사에 all risk 보험으로 한다. 본항에 규정된 보험 이외의 보험은 매수인의 요청에 따라 매도인의 부담으로 매도인이 수행한다. / 또는 CIF와 CIP 조건일 경우 별도 합의가 없는 한 청구서 (계약)금액의 110%를 부보하고 매수인이 요청하는 추가보험은 매수인의 부담하고 별도로 정하지 않는 한 보험은 해상보험만 FPA 또는 ICC cc 조항에 따라 커버하며 매도인은 필요한 경우 매수인의 비용으로 추가보험을 가입할 수 있다는 조건을 설정하기도 한다.)
Set-off : Buyer may, at any time and without any notice, deduct or set-off Seller’s claims for money due or to become due from Buyer against any claims that Buyer has or may have arising out of this or any other transaction between the parties.
(설명: 위와 같이 상계에 있어서 매수인은 통지없이 언제라도 본 건 이나 기타 다른 거래에서 매도인으로 인해 발생했거나 발생할 수 있는 금전채권 청구를 공제하거나 상계할 수 있다.)
Payment : An irrevocable letter of credit, without recourse, available against Seller's sight drafts shall be established through a prime bank satisfactory to Seller within fifteen(15) days after the date of this Contract and be kept valid at least fifteen(15) days after the date of last shipment. The amount of such letter of credit shall be sufficient to cover the Contract amount and additional charges and/or expenses to be borne by Buyer.
(설명: 위와 같이 대금지급에 있어서 무상환 일람불 취소불능 신용장이 본 계약일로부터 15일 이내에 매도인이 동의하는 일류은행을 통해 개설되고 동 신용장은 최종선적일로부터 최소한 15일 동안은 유효되어야 한다. 신용장 금액은 계약금액 및 매수인이 부담할 추가 비용을 커버해야 한다.)
Parts : Seller shall supply to Buyer the parts, at actual cost, so long as Buyer continues to purchase Goods or for at least two (2) years after the last shipment of Goods to Buyer.
(설명: 위와 같이 부품은 매도인이 매수인에게 상품구매를 계속하는 동안 또는 최소한 상품을 최종선적한 날로부터 2년간은 부품을 실비로 공급한다.)
Inspection : Inspection on Goods shall be carried out at the unloading port at Buyer’s expense. Inspection may be done in the presence of Seller if Seller reasonably so desires. Provided, however, notwithstanding any inspection or payment made by Buyer, Buyer may, without limiting its remedies, reject, require corrections or refuse acceptance of Goods which are not in conformity with the specifications or Seller’s express or implied warranty. Goods not accepted by Buyer shall be returned to Seller at Seller’s account and risk or disposed of by Buyer at a time and price which Buyer deems reasonable and Seller shall reimburse Buyer any and all damages incurred to Buyer due to Goods not accepted by Buyer.
(설명: 위와 같이 상품검사는 도착항에서 매수인의 비용으로 수행한다. 매도인이 원할 경우 매도인 앞에서 검사할 수 있다. 그러나 매수인이 수행한 검사나 지불한 경우라도 구제수단을 제한하지 않고 상품명세나 매도인의 명시적 · 묵시적 품질보증에 부합하지 않는 상품을 거절하거나, 수리요청하거나, 인수거절할 수 있다. 인수거절된 상품은 매도인의 계정으로 반환되어
매수인이 합리적으로 간주하는 시간과 가격으로 매도인이 위험을 처리해야하며 매도인은 인수거절된 상품으로 인해 매수인에 발생된 모든 손해를 배상해야 한다. / 또는 상품검사는 한국 수출관련규정에 따르거나 제조업자가 하고 동 검사는 최종적이므로 매수인이 특별검사인을 지정하는 경우 이로 인한 추가비용은 매수인의 부담으로 하여 매도인의 청구서에 포함되고 신용장금액도 따라서 변경된다는 조건을 설정하기도 한다.)
Warranty : Seller represents and warrants that all Goods to be sold by Seller shall conform fully to the specifications, analysis and other information furnished to Buyer and shall be merchantable, of good material and workmanship and free from any defects for at least twenty four (24) months from the date of unloading and that Goods shall be fit and sufficient for the purpose and clear of all liens and encumbrances. Seller’s warranty as stated above shall be an essential condition of this Contract and any breach of the said warranty shall give Buyer the right (a) to reject Goods so affected, without prejudice to any right to damages for such breach or the any other right arising from such breach of this Contract and/or (b) to terminate this Contract in whole or in part. Any and all warranty herein shall be in addition to any warranties express or implied by law or otherwise made by Seller and will survive acceptance and payment by Buyer.
(설명: 위와 같이 품질보증은 판매되는 상품이 매수인이 제공한 명세, 분석 및 기타 제품정보에 부합되며, 상품성이 있고, 하역일로부터 (24) 개월간 소재 및 제조공정에 하자가 없고 제조된 용도대로 사용될 수 있고 유치권 기타 법적제공이 없음을 보장한다. 매도인의 본 품질보증은 본 계약의 중요조건이며 본 보증의 위반이 있을 경우 매수인은 (a) 본 계약의 보증위반으로 인한 손해배상권 기타 권리를 유보한 채 해당 상품을 거절 그리고/또는 (b) 본 계약을 전부 또는 일부 해제할 수있다. 이 문서의 모든 보증은 법률에 의해 명시적 또는 묵시적으로 또는 판매자가 달리 한 보증에 추가하며 구매자의 수락 및 지불 후에도 유효하다. / 또는 상품은 본 계약에 규정된 명세에 부합해야 하며 선적일로부터 (12) 개월간 소재 및 제조공정에 하자 없음을 보장한다. 매도인의 본 보증에 따른 책임한도는 하자상품 또는 그 부품의 수리 또는 교환에 그친다. 본 보증은 (a) 상품 오용, 허술히 다뤄짐, 사고, 또는 남용된 경우 (b) 매도인 이외의 다른 사람이 부적절하게 수리, 설치, 운반, 변경한 경우 (c) 매도인의 지시사항을 위반하여 사용된 경우에는 적용되지 아니한다. 본 조항에 규정된 명시적 보증을 제외하고는 매도인은 매수인에 대하여 명시적이든 묵시적이든 다른 어떤 보증도 하지 아니하며 상품성 및 특정목적에 적합성 보장은 하지 않는다. 어떤 경우에도 매도인은 본 계약상 또는 기타 사유로 영업이익상실, 간접적 · 우연적 · 결과적 손해에 대한 책임이 없다는 조건을 설정하기도 한다.)
Product Liability : Seller shall indemnify Buyer and hold Buyer harmless from and against, and shall defend against, any and all suits, actions, judgments, debts, obligations, claims and damages and all costs including attorneys' fees, incurred by Buyer, of every kind, of any nature or description, arising out of or in relation to, directly or indirectly, the product liability brought by third parties for death, or injury to person(s) or damage to or loss or destruction of property caused or resulting from the Buyer's sale, resale, use, consumption or other disposal of the Goods delivered by the Seller.
In addition to the burden as set forth in the preceding Paragraph, the Seller shall at all times during the warranty period of twenty four months hereabove maintain Product Liability Insurance covering any or all Goods sold by the Seller to the Buyer at its expense in aggregate limits of (전체 보험금: U$ ) and at least (사고건당 보험금: U$ ) per occurrence, which policies shall name Buyer as an additional insured.
Seller shall furnish Buyer with a copy of a certificate of the insurance evidencing the aforesaid coverage.
(설명: 위와 같이 생산품 책임에 있어서 매도인이 공급한 상품을 매수인이 판매, 재판매, 사용, 소비 기타 처분함으로 인해 사망, 신체적 · 재산적 피해, 손상을 입었다고 제3자가 직 ·간접으로 제조물하자와 관련하여 제기하는 소송, 판결, 청구, 손해, 변호사비 포함 기타비용 등으로부터 매수인을 면책시키고 방어해야 한다. 전술한 책임에 더하여 매도인은 판매한 상품전량에 대하여 매도인의 비용으로 (전체 보험금: U$ ) 및 (사고건당 보험금: U$ ) 의 생산품책임보험을 매수인을 추가 피보험자로 지정하여 품질보증기간 동안 유지한다. 매도인은 위 보험부보를 증명하는 보험증서사본을 매수인에게 제공한다.)
Remedy : If Seller shall be in default or fail to ship the Goods at the time scheduled, Buyer may by written notice to Seller exercise any of the following remedies: (a) terminate this Contract : or (b) terminate the Contract as to portion of the Goods in default only and purchase an equal quantity of the Goods of same kind and grade and recover from Seller excess of the price so paid over the purchase price set forth in this Contract, plus any incidental loss or expense: or (c) terminate this Contract as to any unshipped balance and recover from Seller as liquidated damages, a sum of five percent (5%) of the price of the balance. Further, it is agreed that the rights and remedies herein reserved to Buyer shall be cumulative and in addition to any other or further rights and remedies available at law.
(설명: 위와 같이 구제수단에 있어서 매도인이 예정된 일자에 상품의 선적을 지연하거나 선적하지 않은 경우 매수인은 매도인에 대한 서면 통고로 다음 구제수단을 행사할 수 있다. : (a) 본 계약의 해제 (b) 불이행 부분의 계약해제, 동종동급 상품의 해당 수량만큼의 구매, 및 계약가격보다 초과하여 지급된 금액 및 부대 비용의 변상 또는 (c) 미선적물량에 대한 계약해제 및 손해배상의 예정으로 미 선적가액의 5%의 징구. 매수인의 위 권리는 법이 허용하는 여타 권리에 부가되고 누적되어 인정된다.
(또는 매수인이 지급불능, 파산 또는 적시의 신용장개설을 포함하여 매도인에 대한 지급을 하지 않는 경우 등에는 매수인은 본 계약을 불이행 하게 된다. 매수인의 계약불이행의 경우, 매도인은 매수인에 대한 사전 통보없이 다음 규제 수단을 행사할 수 있다. (a) 본 계약의 해제 (b) 불이행 부분에 대하여 계약을 해제하고 이를 재매도하여 매수인으로 부터는 계약금액과 재매도가액과의 차액을 징구하거나 또는 (c) 미선적부분에 대하여 계약을 해제하고 매수인으로부터 미선적 금액의 5%를 손해배상액으로 징구하는 것. 위에 따라 매도인에게 유보된 권리는 누적적인 것이며 법상 인정되는 여타의 구제수단에 부가하여 인정되는 것임을 동의한다.)
Infringement : Seller shall be responsible for any infringement with regard to patent, utility model, trademark, design or copyright relating to Goods in any country where Goods are sold, used or otherwise disposed of. In the event of any dispute with regard to the said intellectual or industrial property rights, Buyer may cancel this Contract. Seller shall be responsible for and shall defend, reimburse, indemnify and hold Buyer harmless from any and all liabilities, claims, expenses, losses and/or damages sustained thereby.
(설명: 위와 같이 위반 조항에서 특허 등 침해에 있어 매도인은 상품이 판매, 사용 또는 폐기된 모든 국가의 상품과 관련된 특허, 실용 신안, 상표, 디자인 또는 저작권과 관련된 모든 침해에 대해 책임진다. 상기 지적 재산권 또는 산업 재산권과 관련하여 분쟁이 발생한 경우 구매자는 본 계약을 취소 할 수 있다. 매도인은 매수인의 책임, 청구, 비용, 손실 및/또는 손해에 대해 매수인을 책임지고 변호, 변제, 배상 및 면책해야 한다.)
Force Majeure : In the event of any prohibition of import, refusal to issue an import license, act of God, war, blockade, embargo, insurrection, or any other action of governmental authorities, civil commotion, plague or the epidemic, fire, flood, or any other unforeseeable causes beyond the reasonable control of a party, the party shall not be liable for any default arising there from in performance of this Contract.
(설명: 위와 같이 불가항력에 있어서는 수입금지, 수입허가거절, 천재지변, 전쟁, 봉쇄, 억류, 폭동, 기타 정부자치행위, 시민소요, 전염병 또는 역병, 화재, 홍수 기타 당사자 일방의 합리적 통제 범위 밖에 있는 예측불가한 사태가 발생된 경우 당사자는 그로 인한 본 계약 불이행에 책임이 없다. / 또는 예측불가한 사태에 혁명, 내란, 동원, 파업, 직장폐쇄, 노동분규, 민란, 지진, 태풍 등을 상세히 기재하기도 한다.)
Arbitration : All disputes, controversies, or differences which may arise out of or in relation to or in connection with this Contract, shall be finally settled by arbitration in Seoul, Korea in accordance with the Commercial Arbitration Rules of the Korean Commercial Arbitration Board. The award rendered by the arbitrator(s) shall be final and binding upon both parties. This Contract shall be governed under the laws of Korea.
(설명: 위와 같이 중재에 있어서 본 계약 및 그 불이행과 관련하여 발생되는 모든 분쟁논쟁 또는 차이점은 최종적으로 대한민국 서울에서 대한상사중재원의 중재규칙에 따라 중재로 해결한다. 중재인이 내린 판정은 최종적이며 양 당사자에게 구속력이 있다. 이 계약은 대한민국 법률에 따라 규율된다. / 주로 매도인 국가의 Commercial Arbitration Board 를 이용한다.)
Trade Terms : All trade terms provided in this Contract shall be interpreted in accordance with the latest INCOTERMS 2010, of the International Chamber of Commerce.
(설명: 위와 같이 본 계약의 모든 무역용어는 국제상업회의소의 INCOTERMS 2010에 따라 해석한다.)
추가적으로 조건에 따라 수량 (매도인의 선택에 따라 10%범위내에서 증감 할수 있음.) 과 클레임 (선하증권에 기재된 도착항에 도착한 날로부터 30일 이내에 fax나 cable로 클레임을 제기하고, 클레임상세내용은 서면으로 위 fax나 cable로 제기한 날로부터 15일내에 등기우편으로 매도인에게 제출한다. 매수인과 매도인의 다툼이 있는 경우 클레임상세내용과 함께 매도인이 인정한 검시인이 작성한 검사보고서를 제출하고 위 기한 내에 위 클레임을 제기하지 못한 경우는 선적품의 인수로 되고 동 선적이 해당 조건을 충족시키고 있음을 매수인이 동의한 것이 된다.) 는 조항을 기재하는 경우가 많습니다.
