본 양해각서(MOU)는 국제법률연구원 리포트 국제법 연구자료 ILRI INTERNATIONAL LAW REPORT 20190801, 20190501, 20181201, 20180411과 다른 양식이니, 다양한 형식을 비교하여 필요 계약에 참고 하시기 바랍니다.
본 양해각서는 병이 프로젝트를 위해서 건설 및 엔지니어링 용역을 병에게 제공할 기업과 동 작업을 갑에게 양도할 기업을 찾고, 을은 병이 찾는 서비스를 제공할 능력과 프로젝트 참여의지를 보이는 양해각서 샘플로, 양당사자 합의는 1. 병이 시행하고 갑이 대표할 프로젝트, 2. 을이 수용할 프로젝트의가액에 대한 지불보증 전제로 프로젝트 참가 의사, 3. 갑이 프로젝트를 위한 병을 대표하고 프로젝트 독점계약자로 을을 임명, 4. 갑은 사전사업타당성 검토를위하여 프로젝트와 관련된 모든 정보를 제공, 5. 당사자간 비밀유지, 6. 양해각서 발효와 무효를 구성하고, 이를 증명하기 위하여 당사자 대표자들에 의해 서명된 양해각서 입니다.
MEMORANDUM OF UNSDERSTANDING
This Memorandum of Understanding (the “MOU”) is made and entered into this 일자 th day of 월 연도 by and between 갑 회사DAFI Corp. represented by -------------, a company of --------------------------------- (the “갑 회사”) and Venture Corp. represented by ------------------, a company of 국가명 (the “을 회사 VC”).

RECITALS:
------------------------------------------- (the “병 회사 Owner”) desires to 제 1항에 언급한 프로젝트명 mentioned in Article 1 herein below (the “Projects”) and is seeking for a foreign corporation who may provide 병 회사 Owner with 서비스 종류 service to build and construct the Projects and assign such work to 감 회사.
을 회사 has the ability to provide 서비스 종류 service which 병 화사 wants to seek and has strong intention to participate in the Projects.
NOW, THEREFORE, both parties agree as follows:
1. The Projects which will be owned by 병 회사 and represented by 갑 회사 are as follows:

2. 갑 회사 and 을 회사 have recognized and understood each other that 을 회사 have intention to participate in the Projects subject to the payments guarantee for the contract price for Projects which is acceptable to 을 회사.
3. 갑 회사 acknowledges and confirms that 갑 회사 is duly representing 병 회사 to seek the foreign company to implement and complete the Projects and 갑 회사 appoints 을 회사 as sole and exclusive contractor for the Projects pursuant to further negotiations and contracts for the Projects.
4. 갑 회사 will, right after from the signing date of this MOU, provide 을 회사 with all information and necessary arrangements including but not limiting to site survey, confirmation of funds availability etc. relating to the Projects to proceed and complete 을 회사 ’s pre-feasibility study properly.
5. Both parties shall keep this MOU as confidential, and neither party shall disclose this MOU and any confidential information which is apparently specified when provided by the other party to any other party, person or entity in any manner whatsoever without the prior written consent of the other party.
6. This MOU shall be effective on the date written hereinabove and be expired, null and void on _________, unless both parties agrees to execute another agreement(s) for the construction of the Projects or to extend the term of this MOU.
