본 양해각서(MOU)는 국제법률연구원 국제법 연구자료 ILRI INTERNATIONAL LAW REPORT 20190501, 20181201, 20180411과 다른 양식입니다.
다양한 형식과 내용을 비교하여 필요한 계약에 참고 하시기 바랍니다.
본 양해각서는 한국법인과 외국소재법인간의 제품과 서비스를 OEM 베이스로 생산 판매함에 있어 협조하며, 디자인, 판촉, 최고품질, 경쟁적인 가격 규정에 합의하는 양해각서로 제1조 제품의 OEM 생산과 판촉에 노력. 제2조 ODM 제품 개발을 완료하여 ODM 독점판매권을 수여하여 세계시장에 공급토록 하고, 2.2 판매일로부터 년간 대 이상을 판매하는 경우 개발비용 부담과 면제와 판매목표를 달성하지 못하는 경우 지급하고 net Tooling cost를 지급한 경우 당해 ODM개발제품의 소유권과 금액 협의, 2.3 요청이 있을 경우 연간 최소 수량 제공, 2.4 요청한 날로부터 언제까지 공급, 2.5 요청에 따라 자신의 비용으로 전세계의 각 시장에서 제품의 형식승인이나 확인 받기. 제3조 기타 3.1 A/S, 품질보증, 발주절차 등 자세한 조건은 추후 본 계약에 정하기, 3.2 경쟁적인 가격과 발주량과 세계시장 상황에 맞추어 조정가능, 3.3 제품개발일정(Product Roadmap)을 분기마다 제공하고 제품디자인에 관한 요청이나 아이디어를 반영하기 위해 협의, 3.4 다른 어떤 한국업체에도 판매권을 부여 금지, 3.5 제품을 양질의 상태로 생산 공급하는 책임과 전반적인 기술적 책임 부담, 3.6 양해각서 및 제품관련사업의 비밀유지 위해 별도의 비밀유지계약(“NDA”) 체결, 3.7 서명일에 발효 및 사유 발생때에 실효를 규정하고 있습니다.
Memorandum of Understanding
This Memorandum of Understanding(“MOU”) made and entered into this 몇번째일 (예. 1st) day of 월, 연도, by and between A사, a Korean corporation having its principal office at , Korea (“A”) and B 사, a corporation having its principal office at ________________________________, (“B”)

WITNESSETH :
WHEREAS, A and B desire to independently cooperate in the manufacture and sale of 제품명 and relevant materials and services (“Products”) on the basis of Original Design Manufacture(“ODM”) amongst others ;
WHEREAS, A desires to promote ,to world-wide market, Products to be disigned and manufactured for A by B, and B desires to manufacture and supply A with the Products with the best quality and competitive price ;
WHEREAS, both parties intend to negotiate the terms and conditions of the manufacture including ODM base and sale of the Products in details, which are to be set forth later in the main agreement between both parties(“Main Agreement”) ;
NOW, THEREFORE, in consideration of the mutual promises and covenants hereinafter, the both parties agree as follows :
Article 1. Original Equipment Manufacturing(“OEM”) of Products
1.1 A has been appointed as the world-wide distributor of B’s current first Products (Model No._________) manufactured by B as ODM base except 제외할 국가명, and endeavors to promote the sale of current first Products bearing A’s own brand logo “브랜드 로고”.
Article 2. ODM Products
2.1 B shall complete the development of its second Products (Model No. __________) by 월, 일, 연도 and give A exclusive distributorship of second Products for world-wide market as ODM base in order for A to supply them to world-wide market with “브랜드 로고 ” brand.
2.2 In case that A will sell more than 최소 세트 수량 sets of each ODM Products model per year commencing on the date of first commercial shipment for world-wide market, B shall bear all development costs (Tooling cost plus NRE cost) for each ODM Products model, and release A of the liability for such costs.
If A fails to accomplish above-mentioned sales goal for any model, A will pay to B for net Tooling costs concerning such ODM Products model. After compensating the net Tooling costs, the Tooling mold of the pertinent ODM Products model shall be the property of A and A shall be able to use the respective ODM Products model in any way including but not limited to the promotion of sale in world-wide market continuously.
As for net Tooling costs, B shall give A detailed information and amount of net Tooling costs for new ODM Products model before beginning the development in order to discuss and fix the such amount between both parties.
2.3 B shall develop and provide A with minimum 연간 최소 수량 new models of ODM Products per year according to the request of A based on B’s development schedule. Such new ODM Products model shall be developed by B in accordance with its normal development schedule as follows :

2.4 B shall develop and provide A with the Products capable of various languages within 몇 일 이내에 (예. one(1) month) from the request of A.
2.5 B shall get all Type Approval and/or Certificate of the Products required for each market in the world at its responsibility and cost according to the request of A.
Article 3. others
3.1 Both parties shall agree that detailed terms and conditions such as After-sales service, Warranty, Order procedure shall be prescribed later in Main Agreement.
3.2 B shall confirm to give its best competitive price of Products to A, and such price may be adjusted in accordance with A’s order amount and the relevant market situation in the world.
3.3 B shall provide its Product Roadmap to A quarterly and discuss next Products with A in order to adopt A’s request and idea for the design of next Products.
3.4 B shall not give its distributorship of the Products to any other Korean companies except A.
3.5 B shall bear the full responsibility during the production and supply of its Products to A in order for A to sell the Products in world-wide market in a good condition. In addition, B shall also bear the full technical responsibility for its Products supplied to A.
3.6 Both parties shall sign the separate Non Disclosure Agreement(“NDA”) in order to keep the contents of this MOU and business of the Products as confidential.
3.7 This MOU shall be effective from the signing date of this MOU. Both parties shall make and execute Main Agreement to specify the detailed terms and conditions of this MOU within 몇일이내에 (예. Two(2)months) from the signing date of this MOU. Unless extended by written agreement of both parties, this MOU shall be null and void upon the earlier to occur of one of the following events :
1) The execution of the Main Agreement.
2) __ month(s) from the signing date of this MOU.
