MEMORANDUM OF UNDERSTANDING
This M.O.U is made on this (일자)th day of (월), (연도) between (A 회사명) Co., a corporation duly organized and existing under the laws of the (A 회사 국가명), having its principal office at (A 회사주소), the (A 회사 국가명) (hereinafter referred to as the “Principal”), and (B 회사) Co., a corporation duly organized and existing under the laws of the (B 회사 국가명), having its principal office at (B 회사 주소), the (B 회사 국가명) (hereinafter referred to as the "Distributor"). Principal and Distributor have mutually agreed on future (거래 물품명) (hereinafter referred to as the "Product") business as follows:
1. The Principal agrees to appoint the Distributor as Principal’s tentative exclusive distributorship in the Territory of the ((B 회사 국가) (hereinafter referred to as Territory) for a period of (계약기간 영어 글자(아라비아 숫자)) year from the signing date. The Principal shall supply its Products not to any third party but to the Distributor in the Territory, and the Distributor shall endeavor to promote the sale of the Products and to obtain the largest sales volume of the Products in the Territory.
2. The Distributor shall place orders to purchase the Principal’s Product, and the Principal shall supply its Product to the Distributor in accordance with Individual Contract which shall be made from time to time between the parties for each purchase of Product in form of sales contract, and which will set forth all the detail terms and conditions between the parties such as, price, payment, delivery, expense, claim, etc..
3. The Principal warrants that the Products shall be free from defects in material and workmanship for a period of (보증 개월수: 영어 글자(아라비아 숫자)) months only from the date of shipment of the Products. The Distributor may inspect the Products in Territory at the Distributor's cost. If any of the Products is found not to be in compliance with the quality standards, the Distributor shall notify in writing the Principal of the defect of the Products in detail within (제품 하자 확인 후 서면 고지 기간: 영어 글자 (아라비아 숫자). 예. One (1)) week from the discharging date of the Products and the Principal shall repair or replace the Products not meeting the quality standards. This warranty does not extend to any of the said Products which have been : (1) subjected to misuse, neglect, accident or abuse, (2) improperly repaired, or altered or modified in any way unless such modification is approved in writing by Principal, and (3) used in violation of instructions furnished by the Principal.
4. The Principal shall supply the spare parts to the Distributor at a price agreed on between the parties from time to time for (최종 선적후 부품 공급기간. 예. two (2) years) after the last shipment of the Products from Principal to the Distributor, and the Principal is obligated to supply the Distributor with technical assistance such as, information and illustrated material, and to send advertising material suitable for the promotion and advertising of the Products, as in the opinion of Principal may be necessary or useful to the Distributor.
5. Claims by the Distributor in regard to any defect in the Products shall be in writing and be dispatched by the Distributor with full particulars within (클레임 가능기간. 예. thirty (30) days) after the receipt of the Products.
6. Any notice required or permitted to be given hereunder shall be in writing, and may be given by personal service, registered airmail, or by cable or telex if confirmed on the same day in writing by registered airmail, with postage prepaid to the following addressed:

7. This Agreement shall become effective upon signing, and shall continue in full force and effect for a period of (계약기간. 예. one (1) year) from the date hereof. After the period this Agreement shall be automatically expired. And either party may discuss with the other party to enter Exclusive Distributorship Agreement.
IN WITNESS WHEREOF, the parties hereto have authorized this MOU to be executed by their respective duly authorized officers.
