국제거래에서 안전한 계약서를 작성하는 것은 무엇보다 중요합니다. 국제법률연구원은 각 국가별 관습을 이해한 맞춤 계약서를 작성해 드립니다. 상대가 납득할 수 없는 조건으로 체결한 계약은 잠시 이익은 있겠으나 결국은 분쟁이 발생하게 됩니다.
아래는 제품을 공급하는 회사와 공급받는 회사가 총판점(DISTRIBUTORSHIP) 계약을 하기
전에 전시회와 홍보 등 사전 마케팅을 허용하는 양해각서입니다.
sample of MEMORANDUM OF UNDERSTANDING
This MEMORANDUM OF UNDERSTANDING (“MOU”) was made and entered into on the _날짜_ th day of ( 월 ), ( 연도 ) by and among ( 공급하는 회사명 ), a company duly organized and existing under the laws of the ( 법적용 국가명 ), whose principal office is at ( 소재도시 , 국가 ) ("공급하는 회사명 이니셜") and ( 공급받는 회사명 ), a company duly organized and existing under the laws of the ( 공급받는 국가명 ), whose principal office is at ( 소재도시 , 국가 ) ("공급하는 회사명 이니셜") with the intention to form a Distributorship Agreement reflecting parties' intentions of developing the 제품명 ("Product") business in ( 마케팅할 시장명 ) market.
NOW, THEREFORE, the parties intend to agree as follows:
1. ( 공급받는 회사 ) agree to develop a market for the Product in ( 마케팅할 시장 ) ("Territory") and ( 공급하는 회사 ) agree to supply the Product to ( 공급받는 회사 ) in accordance with the terms and conditions of distributorship agreement to be agreed by the parties subject to this MOU.
2. For the purpose of preliminary introduction of the Product in the Territory and assessing of the sales volume necessary to make sales plan for the Product for the negotiation of distributorship agreement, ( 공급받는 회사) will hold the ( 전시회: exhibition ) for the Product in the Territory, at its own cost and expenses during the period beginning with the end of ( 몇 월 ) and ( 몇 월의 첫 3분의 1이 끝나는: ending the first third of 월 ).
3. ( 공급하는 회사 ) will do its best endeavour to assist ( 공급받는 회사 )'s exhibition of Product in its discretion.
4. After the exhibition is successfully held, ( 공급받는 회사 ), and ( 공급하는 회사 ) meet and discuss the business for the Product in the Territory based on the sales plan provided by ( 공급받는 회사 ) and the parties will negotiate, determine and conclude the specific terms and conditions of the distributorship agreement by (________).
5. This Memorandum of Undertaking shall become invalid if the distributorship agreement fails to be established by end of (________).
In Witness whereof, this Memorandum of Undertaking was made and signed by the parties as bellow.
