아래는 영문으로 회의록 MEETING MINUTES 작성하는 방법입니다. 도움되시기 바랍니다.
국제계약을 체결하기까지는 수차례의 협의 또는 협상이 수반된다.
각 협의 또는 협상의 결과를 구체적으로 기록하고 당사자들의 서명이 있는 회의록의 경우는 계약서와 동일한 효력을 가질 수 있으며 이러한 협의 또는 협상을 기록한 회의록은 계약의 원만한 체결에 큰 도움이 된다.
회의록 작성은 협의 또는 협상 사항을 정확히 기록해야 좋은데, 일반적으로 "5W IH 1IF"의 원칙에 따라 작성한다.
항목별 특정 합의사항, 미완성 타협사항, 조정 상황에서 사용된 문구 등은 그대로 기록해야 하고,
회의 시간, 장소, 참석자 및 직위, 미합의 사항, 합의를 위한 조건, 계속적 협의를 위한 협조, 역할분담 등을 기록하고 참석자들의 서명을 받아야 한다.
작성한 회의록은 관련 부서와 검토하여 다음 회의에 대비한다.
회의록 작성의 initiative를 잡아서 먼저 drafting 하는 것이 좋으며, 상대측이 drafting한 내용은 반드시 확인하여서 협의 또는 협상 내용을 벗어났을 경우는 수정을 요구해야 한다.

2. As a result of the meeting as indicated above, both parties have caused this meeting minutes be recorded as follows ;
1) 해결된 문제 Resolved Issues
The attached draft agreement dated December 20 includes all issues already resolved.
2) 미해결 문제 Open Issues
The following three issues remain.
The wording included in the draft agreement for these items is highlighted in the areas remaining open.
* Trade Mark ; Highlighted wording reflects ABC's proposal to XYZ,which is a departure from it's worldwide policy. XYZ is requested to review. This departure is conditioned on acceptance in essence of the noncompetition position below. This is also subject to approval by ABC's Trade Mark lawyers.
* NonCompetition ; Highlighted wording reflects a compromise Position to which XYZ is to respond.
* Royalty ; The highlighted areas reflect a negotiated compromise to be reviewed by XYZ.
* Attachment ; Draft agreement

MEETING MINUTES

2. SUBJECTS
1) ABC shall explore possibility of finding the cheapest sources of localized Machine, either by ABC own making or by subcontracting in Korea, and shall inform XYZ of the results prior to ABC's visit to XYZ.
2) XYZ shall review possibility of XYZ's buying back of the complete units manufactured by ABC, for XYZ's use and sales including export, and also positively consider possibility of importing parts & components locally manufactured from Korea. XYZ will give the results to ABC prior to ABC's visit to XYZ.
3) XYZ shall also provide ABC with the area(country) and models which ABC will be entitled to export complete units of the products locally manufactured by ABC
4) XYZ will also inform ABC of the possible range of discount of the C. K.D to be purchased from XYZ by identifying the three simulations.
5) Both parties shall exchange all above information and other necessary one, if possible, for more concrete feasibility study, prior to ABC's visit to XYZ, hopefully by MONTH DATE, YEAR.
