본 계약은 원자재를 가공하는 계약으로, 관련당국에서 지정한 보세구역에 명망있는 직조시설을 가지고 있으며, 그곳에서 가공하여 당사자간 상호이익을 증대시키는 것에 합의하는 계약이다.
계약시 상세한 가공공정을 기입하고 자재의 소유권, 신용장 개설, 선적, 계약기간에 주의 하여야 한다.
BONDED PROCESSING TRADE CONTRACT
This contract is made and agreed on this ___th day of , 20 ----- by and between the following parties concerned :
ABC Company, Ltd., (hereinafter referred to as ABC), a COMPANY,
having its office at _______________
and
XYZ Corp. (hereinafter referred to as XYZ), a Corporation,
having its office at _______________
Whereas ABC wants its materials to be processed into fabrics in the most cost-effective, reliable and high-quality way;
Whereas XYZ has its reputable fabric making facility in the boded area as designated by the competent government authority;
Whereas processing the yarns of ABC into fabrics in XYZ’s bonded manufacturing facility would greatly enhance the mutual benefit of the parties;
Now, therefore, in consideration of the mutual promises and covenants contained herein, ABC and XYZ agree as follows:
Article 1 ABC exports to XYZ Rayon Yarns as specified in the attached Annex1, and XYZ exports to ABC Rayon Fabrics after processing them in its bonded manufacturing facility as specified in the attached Annex1.
All other materials or components for processing Rayon Fabrics than those supplied hereabove by ABC in this Article shall be procured and used by XYZ at XYZ’s costs and expense.
Article 2 XYZ guarantees the quality of the Rayon Fabrics to be strictly equivalent to the samples already confirmed by ABC.
Article 3 Ownership of Rayon Yarns etc
(1) Raw materials and components supplied by ABC shall remain the property of XYZ. XYZ shall maintain them as a bona-fide holder, hold out to all others as ABC’s property and may not sell, or otherwise dispose of them.
(2) XYZ shall take out an insurance with an insurance company acceptable to ABC, at its expenses, for the raw materials and components and the semi-processed or the finished Products.
(3) XYZ shall use the above materials and components for the manufacture and process of the Products described in Article 1, which XYZ shall keep in the factory and may not remove outside factory without the prior written consent of ABC.
Article 4 ABC establishes a letter of credit in the initial amount of U. S. Dollar ten thousand (USD 10,000) for the Rayon Fabrics in favor of XYZ.
Article 5 Shipments are to carried out partially as agreed upon by ABC and XYZ, and establishments of Credits after the first Credit are to be made partially as agreed upon in consideration of execution of the first Credit.
Article 6 The term of this Contract is one year, and further extension and/or renewal may be agreed after consultation by ABC and XYZ.
Article 7 In performance of this Contract, both ABC and XYZ are always to cooperate to their best sincerity and care. If either party breaches any provision of this Contract the non-defaulting party is entitled to compensation for the loss or damage therefrom.
