국제거래시 의뢰인의 요청으로 위임장, 법인등기부등본, 정관을 토대로 법에 따라 해석하고 적용한 여러 종류의 법률의견서를 작성할 때가 있습니다.
그 중에서 회사 존재에 대한 의견서를 쓸 때, 해당 회사가 법률에 따라 주식에 의한 유한책임회사로 등록 설립 존속하며 그 명칭으로 피소될 수 있고, 위임장을 발행, 서명, 인도하고 위임장 하의 의무를 이행할 권한이 있고, 위임장이 인도 되었을 당시 법에 따라 법원에서 집행하기에 적절한 형태로 되어 있고, 대표이사가 위임장을 포함하여 모든 법적 구속력이 있는 서류를 작성 서명 인도할 권한을 가지고 있고, 회사에 대표이사가 2명 이상일 경우 한 대표이사가 정관에 별도 규정이 없는 한 회사를 위하여 법적 구속력이 있는 문서를 작성, 서명, 인도 할 권한을 가지고 있고, 거래를 이행하는 것이 법을 위반하지 않는다는 의견서를 작성할 경우가 있다면

Dear Sir,
1. This legal opinion is delivered to you for ( 회사명 ) in connection with the Power of Attorney made by ( 회사명 ). This opinion is given on the basis that it will be governed by and construed in accordance with the laws of (법적용 국가명).
2. I have examined:
a. the Power of Attorney made on ( 월 일, 연도 ) by ( 회사명 “POA”);
b. a Registry of Company of ( 회사명 ); and
c. an Articles of Incorporation of ( 회사명 ).
3. On the basis of such examination, I am of the opinion that:
a. based on the Registry of Company, ( 회사명 ) is duly organized, registered and existing as a company limited by shares under the laws of ( 법적용 국가명 ), and has separate legal entity and is capable of being sued in its own name;
b. ( 회사명 ) has the capacity, power, and authorities to enter into, execute, and deliver the POA and to perform and comply with its obligations thereunder;
c. POA when executed and delivered is in proper form under the laws of the ( 법적용 국가명 ) for enforcement thereof in the courts of ( 관할법원 국가명 );
d. the representative director has full capacity, power, and authority to enter into, execute, and deliver any and all legally binding instruments for and on behalf of a company including POA under the laws of the ( 법적용 국가명 ), and in case there are two or more representative directors in the company, one of representative directors solely and severally without joining other representative directors may have the full capacity, power, and authority to enter into, execute, and deliver any and all legally binding instruments for and on behalf of the company under the laws of the ( 법적용 국가명 ) unless articles of incorporation of the company sets forth otherwise.;
e. ( 회사 대표자명 ), as President & CEO, is lawful and effective legal representative of ( 회사명 ) as you see in Registry of Company and, ( 회사 대표자명 ), as one of representative directors, has full capacity, power, and authority to issue POA, solely and severally without cooperation of other representative directors, for and on behalf of ( 회사명 ) under the laws of the ( 법적용 국가명 ) and Articles of Incorporation(see Article 해당 정관 조항 번호 기입); and
f. accordingly, the execution and delivery of the POA represented and signed by ( 회사 대표자명 ) and performance of the transactions contemplated thereunder by ( 회사명 ) will not violate or contravene the laws of ( 법적용 국가명 )Republic of Korea.
4. This opinion is addressed to you for your benefit for the purpose of the POA only.
