Saudi Arabia

The Saudi regulations allow any foreign investor to establish a new company or even to become a partner in an existing Saudi company if the Saudi Arabian General Investment Authority ¡°Sagia¡± gives the new company its prior approval.

Sagia undertakes to give such approval if the purpose of the company does not constitute a forbidden activity held in reserve for Saudi people only.

The activities excluded from foreign investments are enumerated in a list called the ¡°Negative list¡±.

To create a ¡°limited Liability Company". You need to know that in KSA a limited liability company (and all kind of companies) must be composed of 2 partners at least (individuals or companies) and each foreign partner must be working in the same field outside Saudi Arabia.

In fact, If the foreign partner is a company it must be three years old at least, and must have the same object of the company you want to create.

If the foreign partner is an individual he must be over 18 years old, and not holder of an actual ¡°Iquama¡± in Saudi Arabia and must be a partner in a company working in the same field.


1. The minimum capital required in your case is [SAR 100,000]. The capital required would have been one million Saudi Riyals if you had chosen to create a factory in KSA.
The ¡°Taxes¡± on any foreign partner will be 20% of his (or its) net annual profit, in addition to 5 % on the profit dividends. It is important to know that any Saudi partner will only pay 2, 5% (Zakat) on his part.


2. Required documents to issue company license ( owned by companies andor persons) or Branch

the required documents to license LLC. company in Saudi Arabia (owned by companies and individuals) are follow:
1. Shareholders resolution to invest in Kingdom of Saudi Arabia stating the shareholders names, capital, shares percentage (stock or cash) location (Al-Khobar City or Dammam "please choose one city"), activities and appointing the General Manager notarized and authenticated from the Saudi Embassy at Korea.
2. Copy of the Commercial Registration for each participating company authenticated from the Saudi embassy at your country translated to Arabic language and from recognized translation office.
3. Copy of Articles of Associations of each company, authenticated from the competent authority and the Saudi embassy at your country, translated to Arabic language from recognized translation office.
4. Passport copy for all partners and the appointed General Manager (all papers) accompanied with 4 original personnel photos (in white background) for each.
5. Non objection letter from the last sponsor if the General Manager have been reside in Saudi Arabia within last three years.
6. Copy of last two years budget for the company prepared by and authenticated from auditing office in the investor's country and approved from the related official commerce or taxes office to be authenticated from the Saudi embassy at your country. translated to Arabic language from recognized translation office.
7. The principal Articles of Association of the new company complying with the Saudi ministry of commerce and industry laws (we shall draft it)
8. Power of attorney for our law firm to proceed establishing the company on behalf authenticated from the Saudi Embassy at your country. (we shall provide the draft of it).

The requirements of contracting activity (in addition to the above stated general required documents) are as follow:
1- Provide the budget for the company owned by a foreign investor outside the Kingdom for three years prior to application for a license show the integrity of the financial situation of it prepared from accredited accountant office and authenticated from the tax authority on the country of the investor and Saudi Embassy.
2- Presence of a distinguished works done by the company previously in the field of activity which would like to invest in accompanied with the obtained certificates of achievement.
3- The company should be classified in its country with the same activity, and not less rating for the third degree or equivalent authenticated from the Saudi Embassy.
4- provide bank certificate stating that each partner share is not less than (SR. 250.000) authenticated by the Saudi Embassy.
5- The legal entity should be a limited liability company.
6- To provide a timetable for the steps to implement the project.
7- To provide Acknowledgment committing to deposit the company capital in a licensed Saudi bank after the issuance of investment license and certificate of deposit in the name of the company before obtaining the commercial registration (We shall do the required Arabic translation for above documents by recognized translation office in KSA)

Our scope of work has been identified and noted to start and finalize all above procedures up to obtain the following
a) Investment license from General Investment Authority (SAGIA).
b) The Commercial Registration (CR) from Ministry of Commerce and
Industry.
c) To register the Company at chamber of commerce.
d) Open company files In General Insurance Organization (GOSI) and Zakat and Income Tax Department.

Our professional fees against the above services shall be US $. 20.000 (Twenty Thousand US. Dollar) "official charges excluded" to be paid as follows:
1. 50% in advance to be paid upon your acceptance.
2. Balance of 50% to be paid at the end of procedures and obtaining the Investment License and Commercial Registration Certificate (CR) from Ministry of Commerce
3. Payment should be made by direct deposit to our bank account:

Stages of establishing a limited liability company
The stages of establishing a limited liability company in Saudi Arabia after fulfillment of all required documents are as follow:
1. To reserve the proposed company name at Ministry of Commence, this may take 2 days.
2. To submit investment application to Saudi investment Authority (SAGIA) and obtain SAGIA License, this may take 15 days.
3. To submit the Article of Association of the Company to Ministry of Commerce for study to be approved.
4. To notarize the Articles of Association of the company before the Notary Public, this may take approximately 3 weeks.
5. To publish a brief of the Article of Association of the Company in the Gazette (Umm Alqura news paper) this may take approximately 2 days.
6. To submit application to the Ministry of Commerce to obtain the commercial registration (CR), this may take approximately 3 weeks and this stage requires appointing the Company Manager and enter to Saudi Arabia and obtain the work permit and residence permit (Iqama) depositing the company capital in recognized Saudi Bank, lease contract for the company location and register the company at Chamber of Commerce.
7. Open company files In General Insurance Organization (GOSI) and Zakat and Income Tax Department this may take approximately 4 days.
8. Obtain the Investment License.

Total time of finalizing the procedures up to obtain the company CR. approximately 45 days.

The official cost of registration of the company approximately SR. 15.000 (fifteen thousand Saudi Riyals) excluding documents authentication form Ministry of foreign affairs and translation fees.




-  The applicant shall fill in an investment license form ( typing )
-  The company board resolution stating that they desire to invest in the kingdom including partners¡¯ names, capital, each partner¡¯s percentage, activity, general manger appointment; this decision  shall be attested by the concerned authorities and Saudi embassy
-  A copy of the participating enterprise commercial registration attested by the concerned authorities and Saudi embassy.
-  A copy of the enterprise articles of incorporation attested by the concerned authorities and Saudi embassy
-  Copy of the passport of the general manager
-  Investor¡¯s profile of each partner. (In case of Individuals)
-  No objection letter from the last sponsor in case any of the partners have been staying during the last 3 years staring from the date of the application conforming to the approved form; this letter shall be attested from chamber of commerce. (In case of Individuals)
-  A copy of trade name booking in case the company desires to obtain trade name.
-  Authorization to a lawyer office approved to finalize all the procedures, this authorization shall be attested by the Saudi embassy or by the investor in case it enters the kingdom conforming to commercial visa
-Paying all the license issuance fees amounting to SR 2000 ( new license )

Contracting Activity Requirements:
-  The investor shall provide the balance sheet of its enterprise outside the kingdom for the previous 3 years stating the good financial position. This balance sheet shall be prepared by an approved accounting office, attested from the taxes concerned authority in the investor¡¯s country and from the kingdom embassy.
-  The distinguished works the enterprise performed in the field the investor desires to invest together with the achievement certificates obtained by the enterprise
-  The company shall be classified in the same activity in its country; the classification grade shall not be less than the 3rd grade or what is equivalent; this certification shall be attested from the Saudi embassy
-  Providing a banking certificate stating each partner' share is not less than (250) thousand Saudi Riyal: this certificate shall be attested from the Saudi embassy
-  The legal entity shall be of limited liability
-  Providing a timetable of the project execution steps
-  The investor shall deposit the capital in an approved bank in kingdom of Saudi Arabia, after investment license issuance and providing the deposit certificate in the name of the enterprise before obtaining the commercial registration.

المستندات المطلوبة لإصدار ترخيص شركة (يملكها شركات و/أو أفراد) أو فرع شركة:
1.    تعبئة نموذج طلب ترخيص استثماري (طباعة). 
2.    قرار مجلس إدارة الشركة برغبتهم بالاستثمار
في المملكة موضحاً به أسماء الشركاء ورأس المال ونسبة كل شريك والنشاط وتعيين المدير العام مصدق من الجهات المختصة والسفارة السعودية.
3.    صورة السجل التجاري للمنشاة المشاركة مصدقة من الجهات المختصة والسفارة السعودية.
4.    صورة من عقد التأسيس للمنشاة المشاركة مصدقة من الجهة المصدرة له ومن السفارة السعودية.
5.    صورة جواز سفر المدير العام.
6.    السيرة الذاتية لكل شريك. (في حالة وجود أفراد)
7.    خطاب عدم ممانعة من آخر كفيل في حال كان أحد الشركاء مقيماً بالمملكة خلال أقل من ثلاث سنوات من تاريخ تقديم الطلب حسب الصيغة المعتمدة ومصدق من الغرفة التجارية . (في حالة وجود أفراد)
8.    صورة من حجز الاسم التجاري في حالة الرغبة بالحصول على اسم تجاري للشركة.
9.    تفويض لمكتب محاماة أو مكتب خدمات معتمد بإنهاء كافة الإجراءات مصدقاً من السفارة السعودية، أو المستثمر نفسه في حالة قدومه بتأشيرة زيارة تجارية فقط.
10.    دفع رسوم إصدار الترخيص وقدرها (2000) ريال للترخيص الجديد.


متطلبات نشاط المقاولات:
1)    تقديم ميزانية للمنشأة التي يملكها المستثمر خارج المملكة للثلاث سنوات السابقة لطلب الترخيص توضح سلامة الوضع المالي لها، وبحيث تكون معدة من مكتب محاسبة معتمد ومصدقة من الجهاز المعني بالضرائب ببلد المستثمر ومن سفارة المملكة في بلد المستثمر.
2)    وجود أعمال متميزة سبق وأن قامت بها المنشأة في مجال النشاط الذي يرغب بالاستثمار
فيه مع تقديم شهادات الإنجاز التي حصلت عليها.
3)    أن تكون الشركة مصنفة في بلدها بنفس النشاط، وألا تقل درجة التصنيف عن الدرجة الثالثة أو ما يعادلها مصدق من السفارة السعودية.
4)    تقديم شهادة بنكية تثبت الملاءة المالية لكل شريك بمبلغ (250.000) ريال ومصدقة من السفارة السعودية.
5)    أن يكون الكيان القانوني شركة ذات مسئولية محدودة.
6)    تقديم جدول زمني لخطوات تنفيذ المشروع .
7)    تقديم إقرار التزام بإيداع رأس المال في بنك مرخص بالمملكة العربية السعودية بعد صدور ترخيص الاستثمار وتقديم شهادة الإيداع باسم المنشأة قبل الحصول على السجل التجاري.



3. The time needed to achieve the incorporation of a new limited liability company in KSA is approximately (50-60) days, in condition that you previously provide our Firm with all the required documents.


4. Our Firm will assist you throughout all the incorporation process and will be in charge of the following:
- Providing you with the complete list of the required documents.               
- Reserving & publishing the ¡°Trade Name¡± of the Company, if needed.
- Preparing & submitting the ¡°Investment File¡± to the concerned authority ¡°Sagia¡±, and following the process until license issuing.
- Preparing & submitting the company's Articles of Association to the Ministry of Commerce, and following the process to get the final approval.
- Legalizing the AOA by a notary public & publishing them in a newspaper.
- Preparing & submitting the necessary applications [the required documents File] and maintaining a permanent follow up with respect to the issuance of the Commercial Registration Certificate and the Chamber of Commerce participation, provided that you achieve within the predetermined time, the deposit of the capital of the company in a Saudi Bank.
- Submitting an application for the Company Recruitment Number.


5. Professional Fees.
Our Firm fees shall be Fifty Thousand Saudi Riyals [SR 50,000] payable on the presentation of our invoice[s] as follows:
- An Amount of [SR 20,000], in advance for starting the assignment.
- An Amount of [SR 15,000] upon the issuance of the Investment License by the Saudi Arabian General Investment Authority [SAGIA].
- An Amount of [SR 15,000] upon the legalization of the AOA by the notary public.


6.  Government dues & Publishing costs.
First of all, it is important to mention that these government dues and taxes are subject to modifications and increases without prior notice. In other hand, it is essential that you pay the entire government dues & publishing costs in advance.
The dues and costs are:
1- Sagia License - SAR 2.000.
2- Name publishing (if required) - SAR 900.
3- Statues publishing – SAR 500.
4- Commercial Register/1 year - SAR 1.200.
5- Chamber of Commerce/1year - SAR 2.100.
6- File Submitting - SAR 1.000.
7- Diverse incidentals - SAR 750. (Taking into consideration that you will translate all the documents into Arabic and legalize them in Korea).
