International Legal Research Institute(ILRI) provides incorporation counseling to Korean companies and cooperate with a Vietnamese Professional Law Firm to assist Korean investors to establish/incorporate companies in Vietnam.
1. Minimum capital for incorporation of a foreign company in Vietnam:
The relevant Laws of Vietnam requires no minimum capital to a company with foreign capital, except for some special business like Banking, Insurance, etc..
2: Required documents for incorporation of a foreign company in Vietnam:
To establish a company with foreign capital in Vietnam, the foreign Investor(s) (or Partners) may be required to prepare the followings:
1. The investment registration application (per format)
2. Reports on financial capability of Investor
3. Joint Venture Contract or BCC contract of Charter of the Company (to be established in Vietnam)
and also (for the investment project with more than 300 billion VND or investment project with conditions)
4. feasibility study of the investment project
5. Other minor supporting documents
3: Visa Information for long term business resident permit including required documents:
For business foreigners to Vietnam, to be required B-type of Visa.
- B1 for International Organization and NGO;
- B2 for foreigners working in company with foreign capital;
- B3 for foreigners working in Vietnam company;
- B4 for Representative Office.
Visa can be single entry, 3-month multiple entry, 6-month multiple entry, 1 year-multiple entry.
Required documents are:
1. Copy of Passport
2. Information on Visa (where to obtain, day of entry, etc.)
3. Few other minor support document
4: Processing time for
1) Certificate of Incorporation and Business Registration:
For a company with foreign capital In Vietnam, the Certificate of Incorporation and the Business Registration are included in the same document called Investment Certificate
Preparation of investment registration dossier may take from 15 days to few months, depends on the Investor(s) and complexity of the investment project;
The Investment Certificate can be issues within 15 days or 45 days (for the investment project with more than 300 Billion VND or investment project with conditions) from the date the Investment Management State Agency receives investment registration dossier in full.
2) Visa: from 4 to 7 working days
5: fees:
