¾Æ·¡¿¡ Çɶõµå ÇöÁöÀÇ È¸»ç¼³¸³(¹ýÀμ³¸³)°ú ºñÀÚ ÃëµæÀ» À§ÇÑ Á¤º¸¿Í ÁÖÀÇ»çÇ×À» ¾È³»ÇÕ´Ï´Ù.





1.Minimum share capital for incorporate foreign company.(Co. Ltd. LL.C. LL.P) ?

Minimum share capital of a Finnish limited liability company is EUR 2,500. Please ask us for further general information about doing business in Finland.


2. Require documents?

The following documentation is needed:
1) The original Notification Form to the Finnish trade register;
2) The original Memorandum of Association;
3) The Articles of Association;
4) The minutes of the Board Meeting (only if needed - for example details of the holders of procuration, auxiliary company names etc.)
5) Documentary evidence from foreign persons - For example: a photocopy of the passport has to be submitted to the Trade Register if a foreigner does not have a Finnish personal identity code; an extract from the register in the company¡¯s home country has to be submitted if a foreign company is a shareholder;
6) A report by an authorised auditor, if the shares are paid using other property than money;
7) A statement of the members of the Board of Directors and the Managing Director, if any, confirming that the company has been formed in compliance with the provisions of the Companies Act, and a certificate of the auditors confirming that the provisions of the Companies Act on the payment of shares have been complied with;
8) Proof of payment of relevant registration fees; and
9) If a foreign company subscribes (as opposed to purchasing) for shares, an extract from the register in the company¡¯s home country.


3. Visa information for L-1, L-2 (long-term business resident permit)

As a main rule foreign employees who are non-EU citizens and equivalent persons need a residence permit for an employed person if they intend to work in Finland. However, there are some exceptions to the main rule - for example managers of small businesses may be allowed to work in Finland based on the ordinary residence permit (i.e. no residence permit for employed persons is required).
The resident permit (for employed person) should be applied before the relevant person enters the country. At least the following documents are required:
1) Resident permit application;
2) Appendix to residence permit application for workers (describing the details of work and remuneration);
3) Copy of passport (as well as the original); and
4) Passport photographs.

In the event an individual decides to apply for an ordinary resident permit only some extra documents (for example the employment contract) may be requested if the said person intends work in Finland based on the exemption rules (e.g. the above example concerning managers of small businesses).
Please note that the above applies to long term residency permits only. Korean citizens do not require a visa for short term visits to Finland.



4. Processing time. How many days does it take to recieve

1) Certificate of Incortpration
Generally 1-2 weeks – however, the Finnish trade register does not normally issue a ¡°Certificates of Incorporation¡±, unless a registration certificate is ordered for a separate fee. Instead our usual practice is to obtain a trade register extract in electronic form.
2) Business Registration
See the above – 1-2 weeks.
3) Visa
Residence permit for employed person - up to 30-60 days



5. retainer fee. and other expenses, include corporate kit?
EUR 1,750 – 2,500 (VAT 0) depending on the extent of services required and details of the specific case. The handling fee with the trade register is EUR 330.

Please note that all companies are required to have at least one board member, who is resident within the European Economic Area. In the event your clients would require a local representative on the Board, a fee for this would have to be negotiated separately.

In addition we can offer company secretarial services and other related services in co-operation with a specialized accounting firm (official address, drafting of AGM/EGM minutes, tax notifications, payroll services etc). Fees for these services are to be negotiated separately, if needed.
