Required minimum capital for incorporating a foreign company (Co. Ltd. LL.C. LL.P)
There is no minimum capital required under the Chilean legislation;
you may incorporate a branch, a stock company or a limited liability partnership with any nominal capital.
We typically recommend starting with a small capital which, at least, can cover the starting-up expenses.
Furthermore, you can delay the payment of part / total of the capital.
Require documents
In order to incorporate a company in Chile our legislation requires two shareholders/partners (natural or legal persons, both of which can be foreign) except in the case of a branch where only a power of attorney from the parent company is needed. T
herefore, we need to receive notarized, legalized and consularized powers of attorney from all the shareholders/partners of the future company.
Once we receive said powers of attorney, which text we shall provide, we may start the incorporation/establishment of a local company.
Typically, the attorneys vested with the necessary powers shall execute a public deed of incorporation of the company, an abstract of which has to be registered with the Register of Commerce and published in the Official Gazette.
Visa information.
It is not necessary to have a Visa to incorporate a company in Chile.
However, if a Korean wants to work in Chile he will need a Visa.
There are two kinds of Visa: Temporary Visa and Visa subject to an employment agreement.
Processing time.
1) Certificate of Incorporation:
Between 3 and 4 weeks since the date of the execution of the public deed of incorporation.
2) Business Registration:
Can be done once you have the certificate of incorporation (namely, between 3 and 4 weeks after executing the public deed of incorporation).
3) Visa
(subject to an employment agreement): Shall depend on the public authority that grants it;
i) Approx. 4 weeks if you go to the Chilean Consulate in Seoul to ask for it, once we have completed the paperwork here with the Ministry of Foreign Affairs in Chile; and,
ii) Approx. 5 months if you apply for the Visa whilst in Chile before the Department of Foreigners of the Ministry of Interior.
