To incorporate a privately owned limited liability company in New Zealand:
1. there is no minimum capital requirement;
2. the directors are not required to be NZ residents or NZ citizens ;
3. documents required are shareholder consents (which we prepare and are executed by the proposed shareholders of the new company) and directors consents (executed by the proposed directors of the company - there must be at least one director);
4. the new company does not need to have a constitution because it can use the default provisions of the NZ Companies Act - however we would recommend that a short standard form constitution appropriate to the circumstances be adopted;

5. Ask ILRI(국제법률연구원) a form which sets out the information in order to incorporate the company;
6. Once we have all the necessary information and signed consent forms, the incorporation process can normally be done on the same day, and a certificate of incorporation immediately issued;
7. Once a company is registered, its details can be publicly searched on the companies govt. wedsite If you go onto this website, you will be able to see the sort of information that is available in respect of companies. For example, the names and addresses of directors, the shareholders, registered office and documents that are required under NZ law to be lodged with the Companies Office.
