미국에서 사업을 하시면 매년 Annual Report 를 제출하셔야 합니다.
이것은 대부분의 주에서 요구하고 있으며, 사업자는 자신이 지속적으로 운영하고 있음을 보여주여야 하는데 여기에는 일반적으로 위치 등 기업 정보, 소유자 및 직원 등 소유권 정보, 캡 테이블로 구성해 매출 또는 수익에 관한 최신 정보를 기재해야 합니다.
연례 보고서를 제때에 제출하지 않거나 늦게 제출하는 경우 주에서는 벌금과 처벌을 부과합니다. 더 중요한 것은, 적절한 서류를 제출하지 않을 경우 많은 주에서 법인을 정지 suspend 하거나 종료 terminate 할 것입니다.
The annual report is a filing that most states require from companies on an annual or other periodic basis that keeps the company information current with the state.
Most states require you to file reports annually confirming your continued existence. They usually consist of your corporate information, ownership information, cap tables and sometimes require sales or revenue information.
Once more, the complexity of the annual report varies by state. Generally speaking, you must usually provide updated information regarding location, owners, revenues and employees.
Companies on the stock exchange like NASDAQ and the NYSE do have to file annual reports with the SEC that become public. These are very different and much more comprehensive from the annual statements that have to be filed with the states where you are doing business.
If you don’t timely file my annual report, States impose fines and penalties if you fail to file your annual report or file it late. More importantly, many states will suspend or terminate your entity if you fail to make the proper filings.
